When Adjustment Not Required; Abandonment of Plan for Dividend and the Like. If the Company shall declare a dividend or distribution of, or grant subscription or purchase rights with respect to, Common Stock as described in this Section 8 and shall, thereafter, legally abandon its plan to pay or deliver such dividend, distribution, subscription or purchase rights, then thereafter no adjustment shall be required and any such adjustment previously made in respect thereof shall be rescinded and annulled.
