When Adjustments May Be Deferred. No adjustment in the Exercise Price needs to be made if the amount of such adjustment would be less than $0.01. Any adjustments that are not made shall be carried forward and taken into account in any subsequent adjustment and all adjustments that are made and carried forward shall be taken in the aggregate in order to determine if the $0.01 threshold is met. In computing adjustments under this Section 8, fractional interests in Shares shall be taken into account to the nearest one-hundredth of a Share.
