WHEN EARNEST MONEY BECOMES NON-XXXXXXABLE. On or before expiration of the Properties Review Period, or as applicable prior to the expiration of the Properties Review Period as extended for review of any Alternative Property, Purchaser shall give written notice to Seller and Escrow Agent of its election to either cancel this Agreement, in whole or in part, or to proceed to close the transaction upon the terms and conditions herein. If Purchaser elects to cancel this Agreement in part in accordance with this Section, Escrow Agent shall, without further instruction from either party, return the Property Earnest Money Deposit to Xxxxxxser for the Property or Properties for which this Agreement shall be cancelled and the escrow for such Property or Properties shall terminate, subject, however, to the right of Seller to terminate this Agreement as to all Properties pursuant to Section 8 hereof. However, these amounts are phased out or eliminated entirely if your adjusted gross income is over a certain level, as explained in more detail below.   • Default Not Exceeding 10% of Firm Units If any Underwriter or Underwriters shall default in its or their obligations to purchase the Firm Units and if the number of the Firm Units with respect to which such default relates does not exceed in the aggregate 10% of the number of Firm Units that all Underwriters have agreed to purchase hereunder, then such Firm Units to which the default relates shall be purchased by the non-defaulting Underwriters in proportion to their respective commitments hereunder.

  • Payment in the Event Losses Fail to Reach Expected Level On the date that is 45 days following the last day (such day, the “True-Up Measurement Date”) of the calendar month in which the tenth anniversary of the calendar day following the Bank Closing occurs, the Assuming Bank shall pay to the Receiver fifty percent (50%) of the excess, if any, of (i) twenty percent (20%) of the Stated Threshold less (ii) the sum of (A) twenty-five percent (25%) of the asset premium (discount) plus (B) twenty-five percent (25%) of the Cumulative Shared-Loss Payments plus (C) the Cumulative Servicing Amount. The Assuming Bank shall deliver to the Receiver not later than 30 days following the True-Up Measurement Date, a schedule, signed by an officer of the Assuming Bank, setting forth in reasonable detail the calculation of the Cumulative Shared-Loss Payments and the Cumulative Servicing Amount.
