When enforceable. The Charges shall be enforceable and, save as may be provided in this Deed, the powers conferred to in this Deed shall be exercisable following the delivery of an Enforcement Notice validly given in accordance with the terms of this Deed.
When enforceable. If (and only if) the Enforcement Date has occurred then the charges created pursuant to this Deed shall become enforceable. Section 103 Law of Property Xxx 0000 shall not apply in respect of any Charged Assets.
When enforceable. The Security created by this Debenture shall become immediately enforceable if an Enforcement Event occurs and is continuing.
When enforceable. As between Chargor and Investor the Charges shall be enforceable only on the occurrence of an Obligor Default which is continuing and Investor has given written notice to Chargor in accordance with the Notes, then Investor:
(a) may enforce all or any part of any Charges (at the times, in the manner and on the terms it thinks fit) and take possession and hold or dispose of all or any part of the Charged Assets;
(b) may instruct Custodian to effect the transfer of all or any part of the Securities in the Securities Account (at the times, in the manner and on the terms it thinks fit) to such nominees as Investor may in its discretion select;
(c) whether or not it has appointed a Receiver, may exercise all or any of the powers, authorities and discretions given to mortgagees and receivers by the CPO as extended by this Deed or otherwise conferred by law; and
(d) may instruct Custodian to remit all or any part of the Credit Balance on the Securities Account to Investor (or such nominees as Investor may in its discretion select) notwithstanding that any maturity or roll-over date attached to any part of parts of the Credit Balance may not yet have arrived.
When enforceable. The Security Interests shall be immediately enforceable upon the commencement of and at any time during an Enforcement Period.
When enforceable. As between the Assignor and the Security Agent the Charges shall be enforceable, and the powers conferred by Section 101 of the LPA as varied and extended by this Deed shall be exercisable, while an Enforcement Event has occurred and is continuing.
When enforceable. At any time following the occurrence of an Enforcement Event which is continuing, the Security created by or pursuant to this Deed is immediately enforceable and the Lender may, in its absolute discretion, enforce all or any part of that Transaction Security.
When enforceable. This Security shall become immediately enforceable upon the Assignor failing to comply with Clause 2.1 above and shall remain so for so long as any amount of Proceeds remains unpaid.
When enforceable. If (and only if) the Enforcement Date has occurred then this Assignment shall become enforceable. Sections 93 and 103 of the Law of Property Xxx 0000 shall not apply in respect of any Assigned Rights.
When enforceable. If any Event of Default occurs then, during the period it continues, at the option of the Secured Party and despite any delay or previous waiver of the right to exercise that option,
(a) each Security is immediately enforceable without the need for any demand or notice to be given to the Grantor or any other person;
(b) the Secured Party may by notice to the Grantor declare that all or any part of the Secured Money is immediately due and payable. On receipt of that notice, the Grantor must pay that Secured Money immediately to the Secured Party; and
(c) all Powers not previously exercisable become exercisable.
