Common use of Where You do Modify Clause in Contracts

Where You do Modify. Notwithstanding clause 5.5 above, where any improvements, modifications and/or additions are made to the Software (or any data created or generated by the Software) (“Software Modifications”) are developed or suggested by you, you agree that the Software Modifications vest in us from the time of their creation or otherwise is assigned to us, including all Intellectual Property Rights in such modifications and/or additions. You agree to do all things necessary, including to supply a complete copy of the source code and all supporting documentation relevant to any source code that it develops and to sign any further agreement or document as may be necessary to give full effect to this sub-clause 5.7.
