Common use of Whole Agreement Clause in Contracts

Whole Agreement. This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes any other agreements, representations or understandings (whether oral or written and whether express or implied) with respect to the subject matter hereof. In the event of any conflict in terms between this Agreement and/or the Plan and/or any agreement executed by and between Executive and the Company, the terms of this Agreement shall prevail and govern.

Whole Agreement. In the event of any conflict in terms between this Restated Severance Agreement and/or the Plan and/or any agreement executed that was made and entered into by and between Executive and the Company, the terms effective as of this Agreement shall prevail and governMarch 11, 2016.

Whole Agreement. This Agreement contains represents the entire understanding of the parties hereto with respect to the subject matter hereof and supersedes supersede all prior arrangements and understandings regarding same, including, without limitation, any other agreements, representations or understandings (whether oral or written and whether express or implied) with respect to the subject matter hereof. Whole Agreement. This Agreement contains sets forth all understandings and agreements between the entire understanding of Parties respecting the parties with respect to subject matter hereof, and all prior agreements, understandings, and representations, whether written or oral, respecting the subject matter hereof are merged into and supersedes any other agreements, representations or understandings (whether oral or written and whether express or implied) with respect to the subject matter hereofsuperseded by this Agreement. In the event of any conflict in terms between this Agreement and/or the Plan and/or any agreement executed by and between Executive and the Company, the terms of this Agreement and the Market Path Firm Agreement and/or Negotiated Rate Agreement, the terms of the Market Path Firm Agreement and the Negotiated Rate Agreement shall prevail and governcontrol.

Whole Agreement. This Agreement contains the entire understanding of agreement between the parties with respect to parties, including their respective affiliates, concerning the subject matter hereof and supersedes any other all prior agreements, representations understandings, discussions, negotiations and undertakings, whether written or understandings (whether oral or written and whether express or implied) oral, between the parties with respect to thereto, including without limitation the subject matter hereof. In the event of any conflict This agreement may be executed in terms between this Agreement and/or the Plan and/or any agreement executed by and between Executive and the Company, the terms of this Agreement shall prevail and governmultiple originals.

Whole Agreement. 1. It is further understood and agreed that this Agreement may not be changed, altered or amended except in a subsequent writing signed by each of the parties with respect to the subject matter hereof and supersedes any other agreements, representations or understandings (whether oral or written and whether express or implied) with respect to the subject matter hereofhereto. In the event of any conflict This Agreement may be executed in terms between this Agreement and/or the Plan and/or any agreement executed by and between Executive and the Company, the terms of this Agreement shall prevail and governmultiple originals.

In the event severance plan of any conflict in terms between this Agreement and/or the Plan and/or any agreement executed by and between Executive and the Company, the terms of this Agreement shall prevail and govern.

This Agreement contains constitutes the entire understanding of agreement between the parties with respect to the subject matter hereof and supersedes any other agreementsin all respects all prior proposals, representations or understandings (whether oral or written negotiations, conversations, discussions and whether express or implied) with respect to agreements between the parties concerning the subject matter hereof. In the event of any conflict in terms between this Agreement and/or the Plan and/or any agreement executed hereof and no subsequent alterations, amendments, changes or additions hereto shall be binding and valid unless reduced to writing and signed by and between Executive and the Company, the terms of this Agreement shall prevail and governeach party.

Whole Agreement. This Agreement contains all the entire understanding of terms agreed by the parties with respect to regarding the subject matter hereof of this Agreement and supersedes any other prior agreements, representations understandings or understandings (arrangements between them whether oral or in writing and no representation, undertaking or promise shall have been taken to have been given or be implied from anything said or written and whether express or implied) with respect in negotiations between the parties prior to the subject matter hereof. In the event of any conflict in terms between this Agreement and/or the Plan and/or any agreement executed by and between Executive and the Company, the terms date of this Agreement shall prevail and governexcept as set out in this Agreement.

Whole Agreement. In the event of any conflict in terms between this Agreement and/or the Plan and/or any agreement executed by and between Executive and the Company, the terms of this Agreement shall prevail and govern.

Whole Agreement. 25.1 This Agreement contains constitutes the entire understanding of whole Agreement between the parties with respect Parties as to the subject matter hereof and of this Agreement and, unless otherwise agreed in writing between the Parties, supersedes any other all previous agreements, understandings, representations or understandings (warranties whatsoever, whether oral or written and whether express or implied) with respect to the subject matter hereof.
