Common use of Whole Agreement Clause in Contracts

Whole Agreement. This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, including, without limitation, any severance or change in control benefits in Executive’s offer letter agreement, employment agreement and/or equity award agreement or previously approved by the Company.

Whole Agreement. This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwrittenwritten, including, without limitation, any severance or change in control benefits in Executive’s offer letter agreement, agreement or employment agreement and/or equity award agreement or previously approved by the CompanyBoard.

Whole Agreement. This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwrittenwritten, including, without limitation, the Prior Agreement and any severance or change in control benefits in Executive’s offer letter agreement, agreement or employment agreement and/or equity award agreement or previously approved by the CompanyBoard.

Whole Agreement. This Agreement and Agreement, the Confidential Information Agreement and any offer letter by and between the Company and Executive represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwrittenwritten, including, without limitation, any severance or change in control benefits in Executive’s offer letter agreement, agreement and employment agreement and/or equity award agreement or previously approved by the CompanyBoard.

This Agreement Agreement, the Offer Letter and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, including, without limitation, any severance or change in control benefits in accelerated vesting provisions of any stock option agreement between the Company and Executive’s offer letter agreement, employment agreement and/or equity award agreement or previously approved by the Company.

This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, including, without limitation, the Prior Agreement and any severance or change in control benefits in Executive’s offer letter agreement, employment agreement and/or equity award agreement or previously approved by the Companyand any share option agreement.

Executive agrees and acknowledges that this Agreement supersedes and replaces in control benefits in Executive’s offer letter agreement, employment agreement and/or equity award agreement or previously approved by its entirety the CompanyPrior Agreement.

Whole Agreement. This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, same including, without limitation, any severance or change in control benefits in Executive’s provisions of the offer letter agreement, employment agreement and/or equity award agreement or previously approved by between Executive and the Company.

Whole Agreement. This Agreement and Agreement, together with the Confidential Information Agreement Agreement, represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written oral or unwrittenwritten, including, without limitation, any severance or change in control benefits in Executive’s offer letter agreement, agreement and employment agreement and/or equity award agreement or previously approved by the CompanyBoard or Chief Executive Officer.

Whole Agreement. This Agreement and the Confidential Information Agreement (together with any equity award agreement between the Company and Executive) represent the entire understanding of the parties Parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, including, without limitation, any severance or change in control benefits in Executive’s including that offer letter agreementdated March 6, employment agreement and/or equity award agreement or previously approved by the Company2021.

Whole Agreement. This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto here to with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, including, without limitation, any severance or change plan of the Company and the Prior Agreement. Executive agrees and acknowledges that this Agreement supersedes and replaces in control benefits in Executive’s offer letter agreement, employment agreement and/or equity award agreement or previously approved by its entirety the CompanyPrior Agreement.

Whole Agreement. This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, including, without limitation, any severance or change in control benefits in Executive’s offer letter agreement, employment agreement and/or equity award agreement or previously approved by plan of the Company’s, the Change in Control Agreement and the Prior Agreement. Executive agrees and acknowledges that this Agreement supersedes and replaces in its entirety the Prior Agreement.

Whole Agreement. This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, including, without limitation, any severance or change in control benefits in Executive’s offer letter agreement, employment agreement and/or equity award agreement or previously approved by plan of the Company’s and the Prior Agreement. Executive agrees and acknowledges that this Agreement supersedes and replaces in its entirety the Prior Agreement.

Whole Agreement. This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, including, without limitation, any severance or change in control benefits in Executive’s offer letter agreement, employment agreement and/or equity award agreement or previously approved by the Company, as well as for the avoidance of doubt, the change in control and several agreement executed by the parties hereto on [●].

Whole Agreement. This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, including, without limitation, any severance or change in control benefits in plan of the Company’s, and any accelerated vesting provisions of Executive’s offer letter agreement, employment agreement and/or equity award agreement or previously approved by the Companyagreements.

This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, including, without limitation, the Prior Agreement and any severance or change in control benefits in Executive’s offer letter agreement, employment agreement and/or equity award agreement or previously approved by the Company.

This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, including, without limitation, any severance or change in control benefits in Executive’s offer letter agreement, employment agreement and/or equity award agreement or previously approved by the CompanyBoard.

Whole Agreement. This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, including, without limitation, that certain Employment Agreement by and between Executive and the Company dated as of May 28, 2008 and any severance or change in control benefits in Executive’s offer letter agreement, employment agreement and/or accelerated vesting provisions of any equity award agreement or previously approved by and between Executive and the Company.

Whole Agreement. This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, including, without limitation, any severance or change in control benefits in Executive’s offer letter agreement, employment agreement, change of control or severance agreement and/or equity award agreement or previously approved by the Company.

Whole Agreement. This Agreement and Agreement, the Confidential Information Agreement and any offer letter by and between the Company and Employee represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwrittenwritten, including, without limitation, any severance or change in control benefits in ExecutiveEmployee’s offer letter agreement, and employment agreement and/or equity award agreement or previously approved by the CompanyBoard.

This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, including, without limitation, the Company’s Change in Control Benefit Plan and any severance or change in control benefits in accelerated vesting provisions of Executive’s offer letter agreement, employment agreement and/or equity award agreement or previously approved by the Companystock option agreement.

Whole Agreement. This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, including, without limitation, any severance or change in control benefits in the Offer Letter, dated as of September 18, 2010, by and between the Company and Executive’s offer letter agreement, employment agreement and/or equity award agreement or previously approved by the Company’s Change in Control Benefit Plan, and any accelerated vesting provisions of any stock option agreement between the Company and Executive.

Whole Agreement. This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, including, without limitation, any severance or change in control benefits in Executive’s offer letter agreement, employment agreement and/or agreement, Prior Agreement, the Letter Agreement Re: Terms of Continued Employment by and between Avago Technologies Limited and Executive dated as of June 9, 2015, and any equity award agreement or previously approved by the Companyagreement.

Whole Agreement. This Agreement and the Confidential Information Agreement represent the entire understanding of the parties hereto with respect to the subject matter hereof and supersede all prior promises, arrangements and understandings regarding the same, whether written or unwritten, same including, without limitation, any severance or change in control benefits in Executive’s offer letter agreementthat certain Change of Control Agreement between Executive and the Company dated as of September 12, employment agreement and/or equity award agreement or previously approved by the Company2008.
