Common use of Whole Agreement Clause in Contracts

Whole Agreement. This Agreement contains the whole agreement between the Parties relating to the subject matter of this Agreement to the exclusion of any terms implied by the Law which may be excluded by contract and supersedes any previous written or oral agreement between the Parties in relation to the matters dealt with in this Agreement.

Whole Agreement. No other agreements, representations or understandings (whether oral or written and whether express or implied) that are not expressly set forth in this Agreement have been made or entered into by either party with respect to the exclusion subject matter hereof. This Agreement contains the whole agreement between the Parties parties relating to the subject matter of transactions provided for in this Agreement to the exclusion of any terms implied by the Law which may be excluded by contract and supersedes all previous agreements between such parties in respect of such matters and each of the parties to this Agreement acknowledges that in agreeing to enter into this Agreement it has not relied on any previous written representations or oral agreement between the Parties in relation to the matters dealt with warranties except for those contained in this Agreement.

Whole Agreement. This Agreement contains supersedes all other agreements, representations or understandings (whether oral or written and whether express or implied), including, without limitation, the whole agreement between the Parties relating Prior Agreement, that are not expressly set forth in this Agreement have been made or entered into by either party with respect to the subject matter hereof. This Agreement and the Confidential Information and Intellectual Property Assignment Agreement contain the entire understanding of this Agreement the parties with respect to the exclusion of any terms implied by the Law which may be excluded by contract and supersedes any previous written or oral agreement between the Parties in relation to the matters dealt with in this Agreementsubject matter hereof.

Whole Agreement. This Agreement contains constitutes the whole entire agreement between the Parties relating to parties in respect of the subject matter of this Agreement to the exclusion of hereof and no party shall be bound by any terms implied by the Law which may be excluded by contract and supersedes any previous written undertakings, representations, warranties or oral agreement between the Parties in relation to the matters dealt with promises not recorded in this Agreement.

Whole Agreement. Whole Agreement. No representation or statement not expressly contained in this Agreement or incorporated herein through amendment or otherwise shall be binding upon the parties in any manner whatsoever. This Agreement contains constitutes the whole agreement between entire understanding of the Parties relating to the subject matter of this Agreement to the exclusion of any terms implied by the Law which may be excluded by contract parties and supersedes any previous written or oral agreement between the Parties in relation to the matters dealt with in this Agreementand all prior agreements, writings and understandings.

Whole Agreement. No representation or statement not expressly contained in this Agreement or incorporated herein through amendment or otherwise will be binding upon the parties in any manner whatsoever. This Agreement contains constitutes the whole agreement between entire understanding of the Parties relating to the subject matter of this Agreement to the exclusion of any terms implied by the Law which may be excluded by contract parties and supersedes any previous written or oral agreement between the Parties in relation to the matters dealt with in this Agreementand all prior agreements, writings and understandings.

Whole Agreement. This Agreement contains the whole agreement between the Parties relating to the subject matter of this Agreement at Signing, to the exclusion of any terms implied by the Law law which may be excluded by contract contract, and supersedes any previous written or oral agreement between the Parties in relation to the matters dealt with in this Agreement.

It is further understood and agreed that this Agreement may not be changed, altered or amended except in a subsequent writing signed by each of the parties hereto. This agreement between the Parties may be executed in relation to the matters dealt with in this Agreementmultiple originals.

Whole Agreement. This Agreement contains the whole agreement between the Parties parties relating to the subject matter of matters provided for in this Agreement to the exclusion of any terms implied by the Law which may be excluded by contract and supersedes any all previous written or oral agreement agreements (if any) between the Parties parties in relation respect of such matters and each of the parties to the matters dealt with this Agreement acknowledges that in agreeing to enter into this Agreement it has not relied on any representations or warranties except for those contained in this Agreement.

Whole Agreement. This Agreement contains represents the whole agreement between the Parties relating to the subject matter of this Agreement to the exclusion of any terms implied by the Law which may be excluded by contract and supersedes any previous written or oral agreement entire understanding between the Parties in relation to the matters dealt with in this Agreement and replaces any other previous agreement on the subject matter. The Parties waive the right to rely on any alleged provisions not expressly contained in this Agreement.

Whole Agreement. This Agreement contains constitutes the whole agreement Agreement between the Parties relating to the subject matter of this Agreement to the exclusion of any terms implied by the Law which may be excluded by contract parties and supersedes any all previous agreements, arrangements or understandings whether written or oral agreement between the Parties in relation connection with or incidental to the matters dealt with in this Agreement. There are no warranties, conditions or representations, save as herein contaminated.

Whole Agreement. 8.1. This Agreement contains the whole agreement between the Parties relating to the subject matter of this Agreement to the exclusion of any terms implied by the Law which may be excluded by contract parties and supersedes any previous prior written or oral agreement between the Parties them in relation to its subject matter, and the matters dealt with in parties confirm that they have not entered into this Agreement upon the basis of any representations that are not expressly incorporated into this Agreement. No oral explanation or oral information given by any party shall alter or affect the interpretation of this Agreement.

Whole Agreement. This Agreement contains the constitutes a whole agreement between the Parties relating with respect to the subject matter of this Agreement to the exclusion of any terms implied by the Law which may be excluded by contract hereof, and supersedes any previous written or oral agreement all prior discussions, negotiations and agreements between the Parties hereto. Matters not covered herein shall be separately agreed upon by both Parties in relation to the matters dealt with in this Agreementa supplementary agreement.

This Agreement contains the whole agreement between the Parties relating to the subject matter of this Agreement to the exclusion of any terms implied by the Law which may be excluded by contract parties and supersedes any previous prior written or oral agreement between the Parties them in relation to its subject matter and the matters dealt with in parties confirm that they have not entered into this Agreement on the basis of any representations that are not expressly incorporated into this Agreement.

This Agreement contains constitutes the whole agreement between the Parties relating with regard to the subject matter of hereof and supersedes all prior verbal or written agreements or understandings or representations by or between the Parties, and the Parties will not be entitled to rely, in any dispute regarding this Agreement, on any terms, conditions or representations not expressly contained in this Agreement to the exclusion of any terms implied by the Law which may be excluded by contract and supersedes any previous written or oral agreement between the Parties in relation to the matters dealt with in this Agreementits annexures.

Whole Agreement. This The Agreement contains constitutes the whole entire agreement between the Parties parties and supersedes all prior communications, representations and agreements between the parties, whether written or oral, relating to the subject matter of this Agreement to the exclusion an Agreed Order. The parties acknowledge that no reliance is placed on any communication, representation or agreement made but not embodied in an Agreed Order and waive any right either party may have in respect of any terms implied by the Law which may be excluded by contract and supersedes any previous written or oral agreement between the Parties misrepresentation not contained in relation to the matters dealt with in this Agreementan Agreed Order, unless such misrepresentation was made fraudulently.

Whole Agreement. This Agreement agreement contains the whole agreement all agreements between the Parties relating to concerning its subject matter. It replaces all oral or written negotiations, agreements, and understandings concerning the subject matter of this Agreement to the exclusion of any terms implied agreement that have been agreed upon by the Law which may be excluded by contract Parties prior to conclusion of this agreement. There exist no subsidiary agreements to this agreement. The Preamble forms an integral part of this agreement and supersedes any previous written or oral agreement has binding effect between the Parties in relation to the matters dealt with in this AgreementParties.
