Common use of Whole Loan Transfers; Agency Transfers or Pass-Through Transfers Clause in Contracts

Whole Loan Transfers; Agency Transfers or Pass-Through Transfers. (a) The Company and the Purchaser agree that with respect to some or all of the Mortgage Loans, the Purchaser may effect either one or more Whole Loan Transfers, and/or one or more Pass-Through Transfers; provided, however, that the transferee will not be deemed to be the Purchaser hereunder unless such transferee shall agree in writing to be bound by the terms of this Agreement (or such other agreement or document agreed to by such transferee, the initial Purchaser and the Company) and an original counterpart of the document evidencing such agreement shall have been executed by the Purchaser and the transferee and delivered to Countrywide. Notwithstanding the foregoing, no transfer shall be effective if such transfer would result in there being more than three (3) “Purchasers” outstanding hereunder with respect to any Mortgage Loan Package.
