Wind-down; Clinical Trials. If there are any on-going Development or Commercialization activities with respect to Terminated Products on the effective date of termination, then the Parties will negotiate in good faith and adopt a plan to wind-down such activities, including if, Takeda or its Affiliates are conducting any Clinical Trials for the Terminated Product.
