Winding Up and Termination After an Event of Dissolution. If a majority in interest of the remaining Members do not consent to the continuation of the Company within ninety (90) days after an event of dissolution as provided by Section 12.2 herein, and if there is not one (1) remaining Member, then the affairs of the Company shall be wound up and the existence of the Company shall be terminated as provided by the Act and in accordance with Section 12.4.
