Winding Up; Liquidation. (a) Upon dissolution of the Partnership, the business and affairs of the Partnership shall be wound up as provided in this Section 13.2. The General Partner shall act as the “Liquidator” (or, in the event there is no remaining General Partner, any Person elected by Limited Partners holding more than 50% of the total number of Partnership Units then issued and outstanding). The Liquidator shall wind up the affairs of the Partnership, shall dispose of such Partnership Assets as it deems necessary or appropriate and shall pay and distribute the assets of the Partnership, including the proceeds of any such disposition, as follows: (i) first, to creditors, including Partners who are creditors, to the extent otherwise permitted by law, in satisfaction of liabilities of the Partnership (whether by payment or by establishment or reserves as determined by the Liquidator in its sole discretion), other than distributions to Partners pursuant to Section 5, and (ii) second, to the Partners in accordance with their positive Capital Account balances. It is intended that such distributions will result in the Partners receiving aggregate distributions in the order of and equal to the amount of distributions that would have been received if the liquidating distributions were made in accordance with Section 5.1. However, if the balances in the Capital Accounts do not result in such intention being satisfied, items of Profits and Losses will be reallocated among the Partners for the Fiscal Year of the liquidation (and, at the election of the General Partner, if necessary and permissible, prior Fiscal Years) so as to cause the balances in the Capital Accounts to be in the amounts necessary to assure that such result is achieved. Notwithstanding anything herein to the contrary, in the event the Partnership is liquidated within the meaning of Treasury Regulation Section 1.704-1(b)(2)(ii)(g), liquidation distributions shall be made by the end of the taxable year in which the Partnership liquidates or, if later, within ninety (90) days of the date of such liquidation. (b) In the discretion of the Liquidator, a pro rata portion of the distributions that would otherwise be made to the Partners pursuant to this Section 13 may be: (i) distributed to a trust established for the benefit of the General Partner and Limited Partners for the purposes of liquidating Partnership Assets, collecting amounts owed to the Partnership, and paying any contingent or unforeseen liabilities or obligations of the Partnership or the General Partner arising out of or in connection with the Partnership; the assets of any such trust shall be distributed to the General Partner and Limited Partners from time to time, in the reasonable discretion of the Liquidator, in the same proportions as the amount distributed to such trust by the Partnership would otherwise have been distributed to the General Partner and Limited Partners pursuant to this Agreement; or (ii) withheld or escrowed to provide a reasonable reserve for Partnership liabilities (contingent or otherwise) and to reflect the unrealized portion of any installment obligations owed to the Partnership, provided that such withheld or escrowed amounts shall be distributed to the General Partner and Limited Partners in the manner and order of priority set forth in Section 13.2(a) as soon as practicable. (c) The Liquidator shall, in its sole discretion, determine whether to sell any Partnership Assets, including, without limitation, Real Estate Assets, and if so, whether at a public or private sale, for what price and on what terms. If the Liquidator determines to sell or otherwise dispose of any Partnership Asset or any interest therein, the Liquidator shall do so expeditiously and for its fair market value under the circumstances, giving due regard to the activity and condition of the relevant market and general financial and economic conditions. If the Liquidator determines not to sell or otherwise dispose of any Partnership Asset or any interest therein, the Liquidator shall not be required to distribute the same to the Partners promptly but shall have full right and discretion to determine the time and manner of such distribution and distributions giving due regard to the interests of the Partners.

(iii) The balance in accordance with Section 7.1.3 of this (iv) provided, that all such distributions in this Section 13.2(a) shall be subject to (A) the right of the General Partner to receive the distributions, if any, to which it is entitled pursuant to Section 7.11 of this Agreement and to receive the accrued, but not yet distributed, Special GP Distributions, if any (any such Special GP Distribution shall be applied under this Section 13.2(a)(iv)), (B) the right of any Discounted Fee Partner to receive the accrued, but not yet distributed, Management Fee Distributions or portions thereof, if any, to which it is still entitled (any such Management Fee Distribution shall be applied under this Section 13.2(a)(iv) as set forth in Section 9.2(h) of this Agreement) and (C) the right of any Affiliate of the General Partner to receive the accrued, but not yet distributed, Special Affiliate Distributions, if any (any such Special Affiliate Distribution shall be applied under this Section 13.2(a)(iv) as set forth in Section 9.2 of this Agreement). In the event the foregoing order of distribution is not permitted by the Delaware Act, distributions shall be made as permitted therein. To the extent permissible under the Delaware Act and if the General Partner determines that the circumstances are appropriate, the General Partner may form a liquidating trust in connection with the Partnership; dissolution of the Partnership to hold assets pending final distributions to the Partners. Subject to the order of priorities set forth in this Section 13.2, if the General Partner determines, in its sole judgment, that an immediate sale of part or all of the assets of any such trust shall the Partnership would be distributed impractical, would cause undue loss to the Partners or otherwise would not optimize the return to the Limited Partners, the General Partner and Limited Partners from time to timemay, in its sole and absolute discretion, defer for a reasonable time the reasonable discretion liquidation of any assets except those necessary to satisfy liabilities of the LiquidatorPartnership (including to those Partners as creditors). The provisions of this Agreement shall remain in effect among the Partners during the period of liquidation (including, in but not limited to, the same proportions as the amount distributed to such trust by the Partnership would otherwise have been distributed provisions relating to the General Partner and Limited Partners pursuant to amendment of, or granting waivers or consents under, this Agreement; or). (iib) withheld or escrowed to provide a reasonable reserve for Partnership liabilities (contingent or otherwise) and to reflect the unrealized portion Upon dissolution of any installment obligations owed to the Partnership, except as otherwise may be provided that such withheld in this Agreement or escrowed amounts as required by law, each Limited Partner shall be distributed look only to the assets of the Partnership for the return of his, her or its investment, and if the Partnership’s assets remaining after payment and discharge of debts and liabilities of the Partnership, including any debts and liabilities owed to any one or more of the Partners, are not sufficient to satisfy the rights of the Limited Partners, they shall have no recourse or further right or claim against the Partnership, any General Partner and Limited Partners in the manner and order of priority set forth in Section 13.2(a) as soon as practicableor any other Partner. (c) The Liquidator shall, General Partner shall use its commercially reasonable efforts to liquidate all of the assets of the Partnership by the Termination Date (or by the expiration of any extension of such date as set forth in its sole discretion, determine whether to sell Section 5 of this Agreement). The General Partner shall not distribute any Partnership Assets, including, assets in kind without limitation, Real Estate Assets, and if so, whether at a public or private sale, for what price and on what termsthe approval of the Executive Board. If any assets of the Liquidator determines Partnership are to sell or otherwise dispose be distributed in kind, such assets shall be distributed on the basis of any Partnership Asset or any interest therein, the Liquidator shall do so expeditiously and for its fair market value under thereof, and any Partner entitled to any interest in such assets shall receive such interest therein as a tenant-in-common with all other Partners so entitled; provided, however, that those assets that can be readily divided and distributed to Partners shall be distributed so that each Partner receives an undivided ownership interest in such assets. The fair market value of such assets shall be determined by the circumstancesGeneral Partner in accordance with the provisions of Section 8 of this Agreement. The General Partner shall provide a minimum of at least ten (10) business days’ prior written notice to each Limited Partner prior to any distribution in kind. In the event that the General Partner shall make a distribution upon liquidation of the Partnership of assets which are not Public Securities, giving due regard any Partner may within the ten (10) business days’ notice period described above elect, by written notice to the activity General Partner or a liquidating trustee, as applicable, to decline the receipt of distributions in kind, in which case such distribution to such Partner shall be made by depositing such assets in a liquidating trust established by the General Partner (or liquidator if not the General Partner) in the name and condition for the benefit of the relevant market applicable Partners; provided that each Partner shall bear its pro rata share of the out of pocket expenses of such liquidating trust. The General Partner (or liquidator if not the General Partner) shall designate the trustee of such liquidating trust, provided that no Limited Partner shall be designated trustee without their consent. Assets in the liquidating trust shall be disposed of at the same time and general financial on the same terms and economic conditions. If conditions as those governing a disposition by the Liquidator determines not to sell General Partner holding the same class of assets (or otherwise dispose of any Partnership Asset or any interest thereinits principals holding such assets if the General Partner has been liquidated, and the Liquidator General Partner shall not be required liable for any loss or reduction in gain which result to distribute a Limited Partner in connection with the same to the Partners promptly but shall have full right and discretion to determine the time and manner deposit of such distribution assets in the trust and distributions giving due regard to the interests of the Partnerstheir disposition therefrom).
