Common use of With Notice Clause in Contracts

With Notice. For any other breach or default under this Agreement, we will provide you with written notice of default and 15 days to cure or, if a default cannot be reasonably be cured within 15 days, to initiate within that time substantial and continuing action to cure such default and to provide us with evidence of such actions. If the defaults specified in such notice are not cured within the 15 day period, or if substantial and continuing action to cure has not been initiated, we may, at our option, terminate this Development Agreement and all rights granted to you under it by giving written notice of such termination to you. The notice of termination shall be effective on the earlier of (i) the date of receipt of the notice by you or (ii) five days after the mailing of such notice by us.
