Common use of Withdrawal from Company Clause in Contracts

Withdrawal from Company. Upon a transfer of a Member’s entire Company Interest in accordance with this Article XII, such Member (the “Withdrawing Member”) shall be deemed to have withdrawn as a Member and shall have no further rights or obligations as a Member under this Company Agreement, except those obligations set forth under Section 7.2, Section 15.9 and Section 12.7. Nothing in this Section 12.6 shall alter a Member’s obligations set forth in Section 6.1. Other than as set forth herein, no Member shall be entitled to withdraw from the Company.
