Withdrawal of General Partner. The A General Partner hereby agrees that it will not may voluntarily withdraw from the Partnership only upon a transfer of all of its Partnership Interests as a General Partner in accordance with the provisions of Section 10.02, such withdrawal to take effect only following the admission of a successor General Partner pursuant to Section 11.01. Upon the transfer of the General Partner, except in connection with, and contemporaneously with or following, a Transfer of its 's Partnership Interest in accordance with the provisions of Section 7.1 or 7.2 and 10.02, the admission transferee shall become the General Partner, unless all of the Transferee as a General Partners remaining after such transfer shall otherwise agree. A General Partner pursuant shall have no liability to the Partnership or the Partners on account of any withdrawal made in accordance with the terms of this Section 7.312.01.
