Common use of Withdrawal of Initial Limited Partner Clause in Contracts

Withdrawal of Initial Limited Partner. The Initial Limited Partner has made a Capital Contribution of USD 1.00 to the capital of the Partnership. Upon one or more additional Partners becoming Limited Partners, the Initial Limited Partner shall automatically withdraw as a Limited Partner and shall accordingly cease to be a Limited Partner and shall be entitled to receive, and the Partnership shall pay to the Initial Limited Partner, the amount of USD 1.00, and no more and shall have no further interest or obligation of any kind whatsoever as a Partner of the Partnership.

Withdrawal of Initial Limited Partner. The Initial Limited Partner has made agreed to make a Capital Contribution contribution of USD US$1.00 to the capital of the Partnership. Upon one or more additional Partners Persons becoming Limited Partners, the Initial Limited Partner shall automatically withdraw as a Limited Partner and shall accordingly cease to be a Limited Partner and shall be entitled to receive, and the Partnership shall pay to the Initial Limited Partner, a return of any capital contribution made by the amount of USD 1.00, Initial Limited Partner to the Partnership and no more and shall have no further interest or obligation of any kind whatsoever as a Partner of the Partnership.
