Common use of WITHDRAWAL OF NOTICE OF TERMINATION Clause in Contracts

WITHDRAWAL OF NOTICE OF TERMINATION. (a) Lessee may withdraw any notice given pursuant to Section 9.1 at any time on or before the date ten Business Days prior to the proposed Termination Date, whereupon this Agreement shall continue in full force and effect and all of Lessee's obligations shall continue, including, without limitation, its obligation to pay Rent, in each case, as if the notice under Section 9.1 shall not have been given and Lessee may give another notice pursuant to Section 9.1; PROVIDED that Lessee shall not be entitled to give more than five notices pursuant to Section 9.1. (b) Lessee shall pay all reasonable out-of-pocket fees and expenses of Lessor, Mortgagee and Owner Participant in connection with any notice of termination withdrawn by Lessee or in connection with any notice of termination pursuant to which a sale of the Aircraft fails to occur.

(b) Lessee shall pay all reasonable out-of-pocket fees and expenses of Lessor, Mortgagee and Owner Participant in connection with any notice of termination withdrawn by Lessee or in connection with any notice of termination pursuant to which a sale of the Aircraft fails to occur.

(a) Lessee may withdraw any notice given pursuant to Section 9.1 at any time on or before the date ten Business Days 25 days prior to the proposed Termination DateDate if it has determined that no bid of a reasonable amount has been received, whereupon this Agreement shall continue in full force and effect and all of Lessee's obligations shall continue, including, without limitation, its obligation to pay Rent, in each case, as if the notice under Section 9.1 shall not have been given and and, subject to Section 9.2.3(b), Lessee may give another notice pursuant to Section 9.1; PROVIDED that . (b) Anything herein to the contrary notwithstanding, Lessee shall not be entitled to give more than five three notices pursuant to Section 9.1. (bc) Lessee shall pay any and all reasonable out-of-pocket fees and expenses of Lessor, Mortgagee and Owner Participant in connection with any notice of termination withdrawn by Lessee or in connection with any notice of termination pursuant to which a sale of the Aircraft fails to occur.
