Common use of Withdrawal of Registration Clause in Contracts

Withdrawal of Registration. If the Initiating Holders inform the Company by written notice that they are withdrawing their registration request made pursuant to Section 2.1 above and the Initiating Holders pay all of the Company's out-of-pocket expenses with respect to such registration incurred to the date of such notice, then the registration statement need not be filed and all efforts pursuant to this Agreement will not count as a registration (or an exercise of rights) under this Section 2; provided, however, that if the Company decides to go forward with the registration on its own behalf, or on behalf of any other shareholders, then the Initiating Holders shall not be required to pay any of the Company's out-of-pocket expenses and such registration will not count as a registration (or an exercise of rights) under this Section 2.

If the Initiating Holders inform the Company Corporation by written notice that they are withdrawing their registration request made pursuant to Section 2.1 3.02(a) above and the Initiating Holders pay all of the CompanyCorporation's out-of-pocket expenses with respect to such registration incurred to the date of such notice, then the registration statement need not be filed and all efforts pursuant to this Agreement will not count as a registration (or an exercise of rights) under this Section 23.02; provided, however, that if the Company Corporation decides to go forward with the registration on its own behalf, or on behalf of any other shareholders, then the Initiating Holders shall not be required to pay any of the CompanyCorporation's out-of-pocket expenses and such registration will not count as a registration (or an exercise of rights) under this Section 23.02.
