Common use of Withdrawal or Suspension of Registration Statement Clause in Contracts

Withdrawal or Suspension of Registration Statement. The Company shall have the absolute right, whether before or after the giving of a Company Piggy-Back Notice or Holder Notice, to determine not to file a registration statement to which the Rightsholders shall have the right to include their Registerable Securities therein pursuant to this paragraph 10(b), to withdraw such registration statement or to delay or suspend pursuing the effectiveness of such registration statement. In the event of such a determination after the giving of a Company Piggy-Back Notice, the Company shall give notice of such determination to all Rightsholders and, thereupon, (A) in the case of a determination not to register or to withdraw such registration statement, the Company shall be relieved of its obligation under this paragraph 10(b) to register any of the Registerable Securities in connection with such registration and (B) in the case of a determination to delay the registration, the Company shall be permitted to delay or suspend the registration of Registerable Securities pursuant to this paragraph 10(b) for the same period as the delay in the registration of such other securities. No registration effected under this paragraph 10(b) shall relieve the Company of its obligation to effect any registration upon demand otherwise granted to a Rightsholder under any other agreement with the Company.

The Company Notwithstanding anything contained to the contrary in this Section 9, the Payor shall have the absolute right, whether before or after the giving of a Company Piggy-Back Notice or Holder Notice, to determine not to file a registration statement to which the Rightsholders shall have the right to include their Registerable Securities therein pursuant to this paragraph 10(b)Section 9, to withdraw such registration statement or to delay or suspend pursuing the effectiveness of such registration statement. In the event of such a determination after the giving of a Company Piggy-Back Notice, the Company Payor shall give notice of such determination to all Rightsholders and, thereupon, (A) in the case of a determination not to register or to withdraw such registration statement, the Company Payor shall be relieved of its obligation under this paragraph 10(b) Section 9 to register any of the Registerable Securities in connection with such registration and (B) in the case of a determination to delay the registration, the Company Payor shall be permitted to delay or suspend the registration of Registerable Securities pursuant to this paragraph 10(b) Section 9.2 for the same period as the delay in the registration of such other securities. No registration effected under this paragraph 10(b) shall relieve the Company of its obligation to effect any registration upon demand otherwise granted to a Rightsholder under any other agreement with the Company.other

In the event of such a determination after the giving of a Company Piggy-Back Notice, the Company shall give notice of such determination to all Rightsholders and, thereupon, (A) in the case of a determination not to register or to withdraw such registration statement, the Company shall be relieved of its obligation under this paragraph 10(b) Section 8 to register any of the Registerable Registrable Securities in connection with such registration and (B) in the case of a determination to delay the registration, the Company shall be permitted to delay or suspend the registration of Registerable Registrable Securities pursuant to this paragraph 10(bSection 8(b) for the same period as the delay in the registration of such other securities. No registration effected under this paragraph 10(b) Section 8 shall relieve the Company of its obligation to effect any registration upon demand otherwise granted to a Rightsholder under any other agreement with the Company.

No registration effected under this paragraph 10(bSection 2(b) shall relieve the Company of its obligation to effect any registration upon demand otherwise granted to a Rightsholder under any other agreement with the Company.

In the event of such a determination after the giving of a Company Piggy-Back Notice, the Company shall give notice of such determination to all Rightsholders and, thereupon, (A) in the case of a determination not to register or to withdraw such registration statement, the Company shall be relieved of its obligation under this paragraph 10(bSection 4(c) to register any of the Registerable Securities in connection with such registration and (B) in the case of a determination to delay the registration, the Company shall be permitted to delay or suspend the registration of Registerable Securities pursuant to this paragraph 10(bSection 4(c) for the same period as the delay in the registration of such other securities. No registration effected under this paragraph 10(bSection 4(c) shall relieve the Company of its obligation to effect any registration upon demand otherwise granted to a Rightsholder under Section 4(b) hereof or any other agreement with the Company.

In the event of such a determination after the giving of a Company Piggy-Back Notice, the Company shall give notice of such determination to all Rightsholders and, thereupon, (Ai) in the case of a determination not to register or to withdraw such registration statement, the Company shall be relieved of its obligation under this paragraph 10(b) Section 2 to register any of the Registerable Securities in connection with such registration and (Bii) in the case of a determination to delay the registration, the Company shall be permitted to delay or suspend the registration of Registerable Securities pursuant to this paragraph 10(b) Section 2 for the same period as the delay in the registration of such other securities. No registration effected under this paragraph 10(bSection 2(b) shall relieve the Company of its obligation to effect any registration upon demand otherwise granted to a Rightsholder under any other agreement with the Company. However, it is acknowledge and agreed to by the parties that this agreement grants no demand rights to the Stockholders.

Withdrawal or Suspension of Registration Statement. The Company Notwithstanding anything contained to the contrary in this Section 5, the Payor shall have the absolute right, whether before or after the giving of a Company Piggy-Back Notice or receipt of a Holder Notice, to determine not to file a registration statement to which the Rightsholders shall have the right to include their Registerable Registrable Securities therein pursuant to this paragraph 10(b)therein, to withdraw such registration statement or to delay or suspend pursuing the effectiveness of such registration statement. In the event of such a determination after the giving of a Company Piggy-Back Notice, the Company Payor shall give notice of such determination to all Rightsholders and, thereupon, (A) in the case of a determination not to register or to withdraw such registration statement, the Company Payor shall be relieved of its obligation under this paragraph 10(b) Section 5 to register any of the Registerable Registrable Securities in connection with such registration and (B) in the case of a determination to delay the registration, the Company Payor shall be permitted to delay or suspend the registration of Registerable Registrable Securities pursuant to this paragraph 10(b) Section 5.2 for the same period as the delay in the registration of such other securities. No registration effected under this paragraph 10(b) Section 5 shall relieve the Company Payor of its obligation to effect any registration upon demand otherwise granted to a Rightsholder under any other agreement with the CompanyPayor.

Withdrawal or Suspension of Registration Statement. The Notwithstanding anything contained to the contrary in this Paragraph 6(c), the Company shall have the absolute right, whether before or after the giving of a Company Piggy-Back Notice or Holder Notice, to determine not to file a registration statement to which the Rightsholders shall have the right to include their Registerable Securities therein pursuant to this paragraph 10(bParagraph 6(c), to withdraw such registration statement or to delay or suspend pursuing the effectiveness of such registration statement. In the event of such a determination after the giving of a Company Piggy-Back Notice, the Company shall give notice of such determination to all Rightsholders and, thereupon, (A) in the case of a determination not to register or to withdraw such registration statement, the Company shall be relieved of its obligation under this paragraph 10(bParagraph 6(c) to register any of the Registerable Securities in connection with such registration and (B) in the case of a determination to delay the registration, the Company shall be permitted to delay or suspend the registration of Registerable Securities pursuant to this paragraph 10(bParagraph 6(c) for the same period as the delay in the registration of such other securities. No registration effected under this paragraph 10(bParagraph 6(c) shall relieve the Company of its obligation to effect any registration upon demand otherwise granted to a Rightsholder under Paragraph 6(b) hereof or any other agreement with the Company.

Withdrawal or Suspension of Registration Statement. The Notwithstanding anything contained to the contrary in this Section 2, the Company shall have the absolute right, whether before or after the giving of a Company Piggy-Back Notice or Holder Notice, to determine not to file a registration statement to which the Rightsholders shall have the right to include their Registerable Securities therein pursuant to this paragraph 10(b)Section 2, to withdraw such registration statement or to delay or suspend pursuing the effectiveness of such registration statementstatement for up to 180 days, if the board of directors of the Company reasonably determines such action or inaction to be in the best interests of the Company or required by law. In the event of such a determination after the giving of a Company Piggy-Back Notice, the Company shall give notice of such determination to all Rightsholders and, thereupon, (Ai) in the case of a determination not to register or to withdraw such registration statement, the Company shall be relieved of its obligation under this paragraph 10(b) Section 2 to register any of the Registerable Securities in connection with such registration and (Bii) in the case of a determination to delay the registration, the Company shall be permitted to delay or suspend the registration of Registerable Securities pursuant to this paragraph 10(b) Section 2 for the same period as the delay in the registration of such other securities. No registration effected under this paragraph 10(b) Section 2 shall relieve the Company of its obligation to effect any registration upon demand otherwise granted to a Rightsholder under any other agreement with the Company.

Withdrawal or Suspension of Registration Statement. The Notwithstanding anything to the contrary contained in this Section 5, the Company shall have the absolute right, whether before or after the giving of a Company Vizacom Piggy-Back Notice or Holder EBC Notice, to determine not to file a registration statement to which the Rightsholders EBC or any EBC Designee shall have the right to include their Registerable Securities the Shares therein pursuant to this paragraph 10(b)Section 5, to withdraw such registration statement or to delay or suspend pursuing the effectiveness of such registration statement. In the event of such a determination after the giving of a Company Vizacom Piggy-Back Notice, the Company shall give notice of such determination to all Rightsholders EBC and any EBC Designee and, thereupon, (A) in the case of a determination not to register or to withdraw such registration statement, the Company shall be relieved of its obligation under this paragraph 10(b) Section 5 to register any of the Registerable Securities Shares in connection with such registration registration, and (B) in the case of a determination to delay the registration, the Company shall be permitted to delay or suspend the registration of Registerable Securities the Shares pursuant to this paragraph 10(b) Section 5 for the same period as the delay in the registration of such other securities. No registration effected under this paragraph 10(b) shall relieve the Company of its obligation to effect any registration upon demand otherwise granted to a Rightsholder under any other agreement with the Company.

No registration effected under this paragraph 10(b) Section 2 shall relieve the Company of its obligation to effect any registration upon demand otherwise granted to a Rightsholder under any other agreement with the Company.

The Notwithstanding anything contained to the contrary in this Section 3, the Company shall have the absolute right, whether before or after the giving of a Company Piggy-Back Notice or Holder Notice, to determine not to file a registration statement to which the Rightsholders holders shall have the right to include their Registerable Securities therein pursuant to this paragraph 10(b)Section 3, to withdraw such registration statement or to delay or suspend pursuing the effectiveness of such registration statement. In the event of such a determination after the giving of a Company Piggy-Back Notice, the Company shall give notice of such determination to all Rightsholders holders of Registerable Securities and, thereupon, (Ai) in the case of a determination not to register or to withdraw such registration statement, the Company shall be relieved of its obligation under this paragraph 10(b) Section 3 to register any of the Registerable Securities in connection with such registration registration, and (Bii) in the case of a determination to delay the registration, the Company shall be permitted to delay or suspend the registration of Registerable Securities pursuant to this paragraph 10(b) Section 3 for the same period as the delay in the registration of such other securities. No registration effected under this paragraph 10(b) Section 3 shall relieve the Company of its obligation to effect any registration upon demand otherwise granted to a Rightsholder holder under Section 2 hereof or any other agreement with the Company.

Withdrawal or Suspension of Registration Statement. The Company Notwithstanding anything contained to the contrary in this Section 6.1(c), Parent shall have the absolute right, whether before or after the giving of a Company Parent Piggy-Back Notice or Holder Notice, to determine not to file a registration statement to which the Rightsholders shall have the right to include their Registerable Securities therein pursuant to this paragraph 10(bSection 6.1(c), to withdraw such registration statement or to delay or suspend pursuing the effectiveness of such registration statement. In the event of such a determination after the giving of a Company Parent Piggy-Back Notice, the Company Parent shall give notice of such determination to all Rightsholders and, thereupon, (A) in the case of a determination not to register or to withdraw such registration statement, the Company Parent shall be relieved of its obligation under this paragraph 10(bSection 6.1(c) to register any of the Registerable Securities in connection with such registration and (B) in the case of a determination to delay the registration, the Company Parent shall be permitted to delay or suspend the registration of Registerable Securities pursuant to this paragraph 10(bSection 6.1(c) for the same period as the delay in the registration of such other securities. No registration effected under this paragraph 10(bSection 6.1(c) shall relieve the Company Parent of its obligation to effect any registration upon demand otherwise granted to a Rightsholder under Section 6.1(b) hereof or any other agreement with the CompanyParent.

In the event of such a determination after the giving of a Company Piggy-Back Notice, the Company shall give notice of such determination to all Rightsholders and, thereupon, (Ai) in the case of a determination not to register or to withdraw such registration statement, the Company shall be relieved of its obligation under this paragraph 10(b) Section 2 to register any of the Registerable Securities in connection with such registration and (Bii) in the case of a determination to delay the registration, the Company shall be permitted to delay or suspend the registration of Registerable Securities pursuant to this paragraph 10(b) Section 2 for the same period as the delay in the registration of such other securities. No registration effected under this paragraph 10(b) shall relieve the Company of its obligation to effect any registration upon demand otherwise granted to a Rightsholder under any other agreement with the Company.

The Notwithstanding anything contained to the contrary in this Section 4.3, the Company shall have the absolute right, whether before or after the giving of a Company Piggy-Back Notice or Holder Notice, to determine not to file a registration statement to which the Rightsholders shall have the right to include their Registerable Securities therein pursuant to this paragraph 10(b)Section 4.3, to withdraw such registration statement or to delay or suspend pursuing the effectiveness of such registration statement. In the event of such a determination after the giving of a Company Piggy-Back Notice, the Company shall give notice of such determination to all Rightsholders and, thereupon, (Ai) in the case of a determination not to register or to withdraw such registration statement, the Company shall be relieved of its obligation under this paragraph 10(b) Section 4.3 to register any of the Registerable Securities in connection with such registration registration, and (Bii) in the case of a determination to delay the registration, the Company shall be permitted to delay or suspend the registration of Registerable Securities pursuant to this paragraph 10(b) Section 4.3 for the same period as the delay in the registration of such other securities. No registration effected under this paragraph 10(b) Section 4.3 shall relieve the Company of its obligation to effect any registration upon demand otherwise granted to a Rightsholder under Section 4.2 hereof or any other agreement with the Company.

Withdrawal or Suspension of Registration Statement. The Notwithstanding anything contained to the contrary in this Section 2, the Company shall have the absolute right, whether before or after the giving of a Company Piggy-Back Notice or Holder Notice, not to determine not be obligated to fulfill the requirements to file a registration statement to which the Rightsholders shall have the right to include their Registerable Securities therein pursuant to this paragraph 10(b)Section 2, to withdraw such registration statement or to delay or suspend pursuing the effectiveness of such registration statementstatement for up to 180 days, if the Board of Directors of the Company reasonably determines such action or inaction to be in the best interests of the Company or required by law. In the event of such a determination after the giving of a Company Piggy-Back Notice, the Company shall give notice of such determination to all Rightsholders and, thereupon, (Ai) in the case of a determination not to register or to withdraw such registration statement, the Company shall be relieved of its obligation under this paragraph 10(b) Section 2 to register any of the Registerable Securities in connection with such registration and (Bii) in the case of a determination to delay the registration, the Company shall be permitted to delay or suspend the registration of Registerable Securities pursuant to this paragraph 10(b) Section 2 for the same period as the delay in the registration of such other securities. No registration effected under this paragraph 10(b) Section 2 shall relieve the Company of its obligation to effect any registration upon demand otherwise granted to a Rightsholder under any other agreement with the Company.
