Common use of Withhold/Recoupment Clause in Contracts

Withhold/Recoupment. PHARMACY shall promptly pay any amounts due hereunder and any payment of portion thereof determined to have been paid in error and thus due and owing to SOUTHERN SCRIPTS and/or Plan. PHARMACY shall pay late fees at the rate of the lesser of one and one-half percent per month or the highest percent allowed by Law from the payment due date until paid in full. SOUTHERN SCRIPTS shall have the right to deduct the amount of such charges, overpayments, penalties, and/or late fees from amounts due to PHARMACY hereunder. In the event no such deduction is made, PHARMACY shall pay such charges, overpayment, and/or penalties to SOUTHERN SCRIPTS within thirty (30) calendar days of the receipt of an invoice. Claims submitted to SOUTHERN SCRIPTS with information that is inaccurate and/or unverifiable are subject to reversal and recovery up to the total amount of the Claim. SOUTHERN SCRIPTS will not seek recoupment from PHARMACY on claims that were positively adjudicated through the Claims Processor as an error of SOUTHERN SCRIPTS.
