Common use of Withholding Taxes; No Section 83(b) Election Clause in Contracts

Withholding Taxes; No Section 83(b) Election. (a) The Participant acknowledges and agrees that the Company has the right to deduct from payments of any kind otherwise due to the Participant any federal, state or local taxes of any kind required by law to be withheld with respect to the issuance of the Shares to the Participant or the lapse of the forfeiture provisions provided for herein. (b) The Participant acknowledges that no election under Section 83(b) of the Code may be filed with respect to this award.

(a) The Participant acknowledges and agrees that the Company has the right to deduct from payments of any kind otherwise due to the Participant any federal, state state, local or local foreign taxes of any kind required by law to be withheld with respect to the issuance of the Shares to the Participant or the lapse vesting of the forfeiture provisions provided for hereinAward, pursuant to Section 2 hereof. (b) The Participant acknowledges that no election under Section 83(b) of the Internal Revenue Code of 1986 may be filed with respect to this awardAward or the Shares issued hereunder.

(a) The Participant acknowledges and agrees that the Company has the right to deduct from payments of any kind otherwise due No Shares will be delivered to the Participant unless and until the Participant pays to the Company, or makes provision satisfactory to the Company for payment of, any federal, state or local withholding taxes of any kind required by law to be withheld with in respect to the issuance of the Shares to the Participant or the lapse of the forfeiture provisions provided for hereinthis award. (b) The Participant acknowledges that no election under Section 83(b) of the Code may be filed with respect to this award.
