Common use of Withholdings; Right of Offset Clause in Contracts

Withholdings; Right of Offset. The Company may withhold and deduct from any benefits and payments made or to be made pursuant to this Agreement (a) all federal, state, local and other taxes as may be required by law, (b) all other employee deductions for Employee Health and Welfare Plans made with respect to all of the Company’s employees generally, and (c) any cash advances made to the Executive while employed by the Company and still owed to the Company. Other than as set forth in the preceding sentence, the Company’s obligations to make the payments provided for in, and otherwise to perform its undertakings in, this Agreement shall not be affected by any right of set-off, counterclaim, recoupment, defense or other action, claim or right the Company may have against the Executive or others.
