Common use of Without Good Reason, With Cause, Death or Disability Clause in Contracts

Without Good Reason, With Cause, Death or Disability. (other than Employment-Related Death or Disability). If Executive’s employment should terminate on his death, if the Company should terminate his employment for Cause or due to his Disability, or if he should terminate his employment without Good Reason during the Employment Period, other than as a consequence of Employment-Related Death or Disability, the Company shall pay to Executive (or to his estate in the event of his death) the Accrued Obligations within thirty (30) days following the Date of Termination. In addition, if Executive’s employment should terminate on his death or because of his Disability during the Employment Period (other than as a consequence of Employment-Related Death or Disability), the Company shall pay to Executive (or to his estate in the event of his death) the Pro-Rata Bonus, if any, in one lump sum payment on the Bonus Payment Date for the fiscal year of the Company that includes the Date of Termination.
