Without limiting the foregoing Section. 4.1, as promptly as practicable (and in any event within three (3) business days) after the first public announcement of the execution and delivery of this Agreement, the Company shall deliver to each Company Stockholder (at the last known address of such Company Stockholder appearing on the Company’s stock register) a true, correct and complete copy of the Disclosure Statement. The Disclosure Statement in the form delivered to the Company Stockholders shall not contain any untrue statement of a material fact or omit to state a material fact necessary in order to make the statements made, in light of the circumstances under which they were made, not misleading (provided that the Company makes no representation or warranty regarding any information concerning the Buyer or Merger Sub furnished by the Buyer in writing for inclusion in the Disclosure Statement).
