Work and Services. The Subrecipient shall perform work and services as described in Exhibit A.
Work and Services. If work and services (“Works”) form part of the PO, the following provisions shall apply:
(a) All invoices shall be accompanied by a schedule of completed work certified by Purchaser.
(b) Progress payments shall not be made unless provided for in the PO.
(c) The Supplier will be granted access to the Purchaser’s premises as reasonably required to carry out its obligations under a PO.
(d) The Supplier and its Personnel shall comply with (i) any legal requirements and (ii) the Purchaser’s rules, directions and policies, which are intended to be of application to persons at the Purchaser’s premises.
(e) The Supplier warrants that it has fully and properly satisfied itself of all circumstances, conditions and requirements pertaining to or connected with the provision of the Works and all other conditions affecting the Works in order to achieve successful completion.
(f) The Supplier warrants that its Personnel are suitably qualified, appropriately skilled and experienced and that all Personnel hold appropriate and current authorisations required for the Works.
Work and Services. Contractor shall comply with all applicable Federal, State and local laws and regulations, and County EMS policies, procedures and protocols.

District shall provide, administer, and manage its emergency ambulance operations, personnel, and resources in accordance with all applicable federal and state EMS laws and regulations, CCEMS medical control policies, procedures, protocols, and guidelines, and high professional standards.

1. The Scope of Services to be provided under this Agreement shall be as outlined in the Scope of Services of the Commission’s dated , including Addenda and and further supplemented by the Consultant’s dated , . In the event of conflicts, inconsistencies or discrepancies between and/or within the contract documents including, but not limited to, the Commission’s Request for Proposal, the Consultant’s Proposal, Rate Schedule and Fee Proposal, any problem statement or any specific Task Order Assignment, the Consultant shall provide the better quality or greater quantity of Scope of Services, at no additional cost to the Commission, in accordance with the Commission’s interpretation. Specific Task Order Assignments shall be issued by the Commission on an as needed basis, as determined by the Commission in its sole discretion, and such Task Order Assignments shall be performed under the direction of the Executive Director and/or his/her designee. When the services of the Consultant are desired by the Commission, the Executive Director and/or his/her designee will provide the Consultant with a problem statement for each assignment. The Consultant shall submit a detailed scope of services and fee proposal for each assignment, which the Consultant indicates will address the problem statement, to the Executive Director and/or his/her designee within five (5) working days or fewer if required by the Commission.
2. The term of this Agreement shall be for two (2) years from the Commission’s Consultant on an as-needed basis, as determined in the Commission’s sole discretion; provided however, the Commission reserves the option to extend or shorten the Agreement duration and/or to increase or decrease the not-to-exceed dollar amount, as determined by the Commission, in its sole discretion.
