Common use of Work Plan Contents Clause in Contracts

Work Plan Contents. Each Work Plan will (a) provide a framework for the applicable Research Program and (b) set forth (i) the objectives of the Research Program, which will be consistent with the objectives of the Research Collaboration as set forth in the recitals and Section 2.1, (ii) the specific Codiak Program Activities to be undertaken to achieve those objectives, (iii) an estimated timeline for the completion of each such Codiak Program Activity, (iv) any Codiak Platform Know-How or Codiak Platform Patent Rights (A) to be used by Codiak or its Affiliates under such Work Plan, or (B) to be transferred to Jazz or its Affiliates in connection with the Work Plan, (v) if the applicable Collaboration Target is not one of the first [***] Collaboration Targets, an itemized budget for the estimated internal FTE Costs and out-of-pocket external costs and expenses expected to be incurred by Codiak and its Affiliates with respect to such Work Plan in the form of (and showing the level of detail as set forth in) the budget included in Exhibit B, including any Codiak Program Activities specified therein that are anticipated to be conducted by (sub)contractors, (vi) the Research Program Materials to be used or made available during the Research Program Term, (vii) any Jazz Know-How to be transferred to Codiak because it is necessary for Codiak to perform the Codiak Program Activities, and (viii) such further terms and conditions that the Parties may agree to be applicable to the Research Program (including their rights and obligations with respect thereto).

Work Plan Contents. Each Work Plan will (a) provide a framework for the applicable Research Program Program, (b) be substantially in the form of the Work Plan attached hereto as Exhibit B, and (bc) set forth (i) the objectives of the Research Program, which will be consistent with the objectives of the Research Collaboration as set forth in the recitals Recitals and Section 2.1, (ii) the specific Codiak Ablynx Program Activities to be undertaken to achieve those objectivesobjectives and any Sanofi Program Activities, (iii) an estimated timeline for the completion of each such Codiak Ablynx Program Activity, (iv) any Codiak Functionalizing Technologies that may be used in connection with such Work Plan, (v) any Ablynx Platform Know-How or Codiak Platform Patent Rights (A) to be used by Codiak or its Affiliates Ablynx under such Work Plan, or (B) to be transferred to Jazz or its Affiliates Sanofi in connection with the Work PlanResearch License or Development and Commercialization License, (vvi) if the Pre-Existing Nanobodies Directed to the applicable Collaboration Sanofi Target is not one to be Developed by the Parties in the course of the first [***] Collaboration TargetsResearch Program, an itemized (vii) a budget for the estimated internal FTE Costs (FTE) and out-of-pocket external costs and expenses expected to be incurred by Codiak and its Affiliates Ablynx with respect to such Work Plan in the form of (and showing the level of detail as set forth in) the budget included in Exhibit B, including any Codiak Program Activities specified therein that are anticipated to be conducted by (sub)contractors, (viviii) the Research Program Materials to be used or made available during the Research Program Term, (viiix) any Jazz Sanofi Know-How to be transferred to Codiak Ablynx because it is necessary for Codiak Ablynx to perform the Codiak Ablynx Program Activities, and (viiix) such further terms and conditions that the Parties may agree to be applicable to the Research Program (including their rights and obligations with respect thereto).
