Workhorse Agreements Clause Samples

A Workhorse Agreements clause defines the main contracts or agreements that govern the ongoing business relationship between parties. Typically, this clause identifies which documents serve as the foundational or controlling agreements, such as master service agreements, supply contracts, or framework agreements, and clarifies their precedence over other related documents. By establishing which agreements are the primary reference points, this clause ensures consistency, reduces confusion, and helps prevent disputes over which terms apply in case of conflicting provisions.
Workhorse Agreements. The Workhorse Agreements are the only Contracts to which Purchaser is a party with Workhorse or any of Workhorse’s Affiliates. Each Workhorse Agreement is in full force and effect and constitutes a legal, valid and binding obligation of Purchaser and is enforceable against Purchaser in accordance with its terms, subject to the Enforceability Limitations. Purchaser has performed in all respects the obligations required to be performed by Purchaser under each of Workhorse Agreement and is not in breach or default under any Workhorse Agreement (nor would be with or without notice or lapse of time, or both), and Workhorse is not in breach or default thereunder (nor would be with or without notice or lapse of time, or both).
