Working Groups. From time to time, a Joint Committee may establish and delegate duties to sub-committees or directed teams (each, a “Working Group”) on an “as-needed” basis to oversee particular projects or activities (e.g., joint project team, joint finance group, or joint intellectual property group). Each such Working Group shall be constituted and shall operate as the Joint Committee determines; provided, that each Working Group shall have equal representation from each Party, unless otherwise mutually agreed. Working Groups may be established on an ad hoc basis for purposes of a specific project or on such other basis as the Joint Committee may determine. Each Working Group and its activities shall be subject to the oversight, review and approval of, and shall report to, the Joint Committee that formed said Working Group. In no event shall the authority of the Working Group exceed that specified for the Joint Committee that formed the Working Group. All decisions of a Working Group shall be by unanimous agreement. Any disagreement between the designees of AbbVie and Ablynx on a Working Group shall be referred to the Joint Committee that formed the Working Group for resolution.

Each such Working Group shall be constituted and shall operate as the applicable Committee determines; provided, that each Working Group shall have equal representation from each Party. Each Working Group and its activities shall be subject to the oversight, review and approval of, and shall report to, the Committee that established such Working Group. In no event shall the authority of the Working Group exceed that specified for the relevant Committee in this Article 2.
Working Groups. (a) Upon its formation, the PSC shall establish Working Groups which shall be responsible for proposing a detailed development plan (setting forth the different steps and time frames, as well as the budget for the Parties’ respective activities for the Development of Products) to the Project Steering Committee. After approval of the development plan by the Project Steering Committee, which must occur in a timely way so as not to impede the progress of the Working Groups, the Working Groups shall coordinate and implement all day-to-day activities of the Parties, respectively, under this Agreement. The Working Groups shall work openly and cooperatively and shall meet periodically as the Parties reasonably determine may be necessary, to coordinate research, preclinical and clinical development, process development and production, and other activities conducted by the Parties according to the objectives and priorities of the cooperation under this Agreement. The results of such meetings shall be recorded in writing. The minutes shall be approved and signed by both Parties’ project leaders. The minutes shall be marked as “Confidential” and shall be subject to the secrecy obligations and restrictions on use as per Section 11 hereinafter.
(b) The Working Groups shall include those of its employees that each Party reasonably determines to be necessary or appropriate (such employees may participate in more than one Working Group which, unless requested by a Party, need not include an equal number of each Party’s expert employees). Decisions of the Working Groups shall be by mutual agreement of the Parties, with any disputes to be resolved by the Project Steering Committee.
(c) The Working Groups shall initially include the following and such other Working Groups as may be agreed from time to time by the Project Steering Committee:
(i) Clinical Development Group - The Clinical Development Group shall be responsible for proposing the clinical development plans for any Products, including IND-enabling toxicology studies, to the Project Steering Committee, supervising all clinical activities with respect to any Products, and coordinating and implementing the clinical trials and regulatory submissions in connection with those various clinical trial activities. The Clinical Development Group shall report to the Project Steering Committee from time to time the results of Development activities for review and for decisions on subsequent activities.
(ii) Process Development...
Working Groups. From time to time, the JSC may establish a working group (each, a “Working Group”) to oversee particular projects or activities. Each Working Group shall undertake the activities delegated to it by the JSC. During the process of establishing each Working Group, such Working Group and the JSC shall agree regarding which matters such Working Group will resolve on its own and which matters such Working Group will advise the JSC regarding (and with respect to which such advice-specific matters the JSC will resolve).

Each Working Group and its activities shall be subject to the oversight, review, and approval of, and shall report to, the Committee that established such Working Group. In no event shall the authority of any Working Group exceed that specified for the Committee under which such Working Group is established.
Working Groups. The Board or the President may establish or terminate working groups and other committees, juries, and task forces (collectively, "Working Groups") as necessary or desired by a majority vote. Such bodies shall have specific charges and, as appropriate, defined term limits. Unless otherwise specified in this Operating Agreement, the President shall, in consultation with relevant Working Group chairs, have the power to make all appointments of Members to serve on Working Groups. No Regional Group Working Group or member thereof shall have the power to bind Regional Group contractually, to commit Regional Group's funds, to seek funding in the name of Regional Group, or to speak officially for Regional Group without explicit written approval of the Board.
Working Groups. To the extent necessary and justified, the Trade Committee may establish a working group with the aim of performing, among others, the following tasks: (a) discussing regulatory issues concerning establishment, trade in services and electronic commerce; (b) proposing guidelines and strategies enabling the signatory Andean Countries to become a safe harbour for the protection of personal data. To this end, the working group shall adopt a cooperation agenda that shall define priority aspects for accomplishing that purpose, especially regarding the respective homologation processes of data protection systems; (c) seeking the necessary mechanisms to address the aspects covered under Article 162; (d) recommending mechanisms to assist Micro and SMEs in overcoming obstacles faced by them in the use of electronic commerce; (e) improving the security of electronic transactions and electronic government, among others; (f) encouraging the participation of the private sector in training and adoption of codes of conduct, contract models, guidelines and compliance mechanisms for electronic commerce, together with active participation in fora organised between the Parties;

Working Groups may be established on an ad hoc basis as the JCC shall determine. Each Working Group and its activities shall be subject to the oversight, review and approval of, and shall report to the JCC. The authority of any Working Group shall never exceed that specified for the JCC under this Article 0.
Working Groups. From time to time, the JDC may establish and delegate duties to other committees, sub-committees or directed teams (each, a “Working Group”) on an “as-needed” basis to oversee particular projects or activities, which delegation shall be reflected in the minutes of the meetings of the JDC. For illustrative purposes only, the JDC may establish a Working Group focused on CMC matters and a Working Group focused on intellectual property matters. Each Working Group shall be constituted and shall operate as the JDC determines and shall report to the JDC. Each Working Group and its activities shall be subject to the oversight, review and approval of the JDC. In no event shall the authority of the Working Group exceed that specified for the JDC in Section 3.1(a). Any disagreement between the designees of Pfenex and of Jazz on a Working Group shall be referred to the JDC for resolution.
Working Groups. From time to time, the JDC, JCC and JMC may establish working groups (each, a “Working Group”) to oversee particular projects or activities, and each such Working Group shall be constituted and shall operate as the JDC, JCC or JMC, respectively, determines, including with respect to the number and qualification of representatives, frequency of meetings and reporting obligations. Each Working Group shall make decisions only following [***], with each Party having [***] vote. If a Working Group fails to reach [***] on a matter before it for decision for a period in excess of [***], it shall submit the respective positions of the Parties with respect to such matter for resolution by the JDC, JCC or JMC, as applicable. The Parties anticipate that the JDC shall form a Working Group(s) to coordinate clinical and regulatory activities under this Agreement and that the JCC shall form a Working Group to coordinate global branding and commercialization activities under this Agreement
