Works in Progress. (i) Contractor shall deliver Work in Progress (if not previously delivered to Client) in the form and in the time frame reasonably requested by Client.
(ii) If this Agreement or Task Order is terminated for any reason other than pursuant to Section 21.2(b), then Contractor shall deliver to Client all Work in Progress under the terminated Task Order(s), and Client shall pay for all such Work in Progress, as well as Work in Progress that was previously delivered to Client.
(iii) If this Agreement or a Task Order is terminated pursuant to Section 21.2(b), then Client shall pay only for Work in Progress that Client elects to retain or elects to be delivered (“Selected Work in Progress”). Contractor shall deliver such Selected Work in Progress (if not previously delivered) in the form and in the time frame reasonably requested by Client. For all Work in Progress that Client elects not to retain or be delivered pursuant to this section, Client hereby assigns back to Contractor ownership of all rights, title and interest in and to such Work in Progress, and Client agrees to return to Contractor any such Work in Progress (that was previously delivered to Client) in the form and in the time frame reasonably requested by Contractor.
(iv) Amounts payable by Client for all Work in Progress in accordance with Section 21.4(c)(ii) shall be calculated based on the reasonable value of the Work in Progress (taking into account the amount of hours worked and the percentage complete); provided, however, that such amount shall not exceed the amount allocated in the applicable Task Order for the Deliverable comprised of such Work in Progress.
(v) Amounts payable by Client for all Work in Progress in accordance with Section 21.4(c)(iii) shall be calculated based on the reasonable value of the Work in Progress (taking into account the amount of hours worked and the percentage complete); provided, however, that such amount shall not exceed the amount allocated in the applicable Task Order for the Deliverable comprised of such Work in Progress.
(vi) For purposes of this Section 21.4(b), Works in Progress does not include Project Works delivered under T&M Task Orders.

Works in Progress. Except for the outstanding work to be performed on Works-in-Progress identified on schedule 1.1(e) (“Outstanding Work”), there is not outstanding work on the Works-in-Progress. Except for the WIP Cash, no monies have been collected representing payment for Outstanding Work. All worked performed as of the Closing on Works-in-Progress has been done in a skillful, diligent and workmanlike manner.
Works in Progress. 6.1 The Customer shall provide exclusive Site access for the Contractor to complete any necessary Works.
6.2 From time to time there may be delays to the Works due to circumstances outside the Contractor’s control including, but not limited to, adverse weather conditions, material shortages and labour shortages. The Contractor shall notify the Customer in writing at the earliest opportunity if any such delays occur.
Works in Progress. Seller shall use due diligence to complete all Works in Progress prior to the Closing Date
Works in Progress. Upon termination of this Agreement,
(a) each Statement of Work under this Agreement will simultaneously terminate and any Services being provided under any such Statement of Work will cease;
(b) Consultant will issue, and Customer will pay, an invoice for all Services provided and expenses incurred prior to termination; and
(c) upon receipt of payment for all amounts due, Consultant will deliver to Customer all uncompleted works in progress, which uncompleted works shall be delivered by Consultant and accepted by Customer “AS IS” and “WITHOUT WARRANTY,” but otherwise subject to the terms and conditions of this Agreement.
Works in Progress. The termination of this Agreement by any of the Parties or by mutual agreement shall not terminate or release any Party from any other agreement or arrangement with any other Party.
Works in Progress. Owner represents and warrants that it shall use best efforts to complete all Works in Progress prior to the Closing Date.
