WPHC ARTICLES. The Articles of Incorporation of WPHC shall have been amended as provided in Section 5.24 and immediately prior to the Spin- off, Wellsford's ownership interest in WPHC shall consist solely of 80 WPHC Voting Shares and 20 WPHC Non-Voting Shares.
