Common use of Written Action Clause in Contracts

Written Action. Any action which might be taken by the sole Manager or at a meeting of the Board of Managers, or any duly constituted committee thereof, may be taken without a meeting if done in writing and signed by, as the case may be, the sole Manager or a majority of the members of the Board of Managers or of such committee members.

When written action is taken by fewer than all Managers, the Board of Managers or will notify all Managers of such committee membersthe text and effective date of the action immediately. Failure to provide the notice does not invalidate the written action.
