Written Modifications. This Agreement may not be orally amended or modified and no oral waiver of any of its terms shall be effective. This Agreement may be amended or modified and the provisions hereof may be waived, only by an agreement in writing signed by the Xxxxx Stockholders and the Parthenon Stockholders. Each such amendment, modification or waiver shall be binding upon each party hereto.
