Written Proposals/Materials Clause Samples

The Written Proposals/Materials clause establishes requirements for the submission, ownership, and use of written documents or materials exchanged during a business relationship or negotiation. Typically, this clause specifies that all proposals, presentations, or other written materials provided by one party must be in writing and may address issues such as confidentiality, intellectual property rights, or the return of materials upon request. Its core practical function is to ensure clarity and protect the interests of both parties by formalizing how written materials are handled and preventing misunderstandings regarding their use or ownership.
