Common use of Xx Duplication of Payments Clause in Contracts

Xx Duplication of Payments. The Company shall not be liable under this Agreement to make any payment in connection with any claim made against Indemnitee to the extent Indemnitee has otherwise actually received payment (whether under the Company’s Restated Certificate of Incorporation, the Company’s Amended and Restated By-laws, any insurance policy, by law, or otherwise) of the amounts otherwise indemnifiable hereunder.

Xx Duplication of Payments. The Company shall not be liable under this Agreement to make any payment in connection with any claim Claim made against Indemnitee to the extent Indemnitee has otherwise actually received payment (whether under the Company’s Restated Certificate of Incorporationany insurance policy, the Company’s Amended and Restated By-laws, any insurance policy, by law, Bylaws or otherwise) of the amounts otherwise indemnifiable hereunder.

The Company shall not be liable under this Agreement to make any payment to Indemnitee in connection with respect of any claim made against Indemnitee Losses to the extent Indemnitee has otherwise actually received payment (whether under the Company’s Restated Certificate of Incorporation, the Company’s Amended and Restated By-laws, any insurance policy, by lawthe Constituent Documents, Other Indemnity Provisions or otherwise) otherwise of the amounts otherwise indemnifiable by the Company hereunder.

Xx Duplication of Payments. The Company shall not be liable under this Agreement to make any payment to Indemnitee in connection with respect of any claim made against Indemnitee Indemnifiable Losses to the extent Indemnitee has otherwise actually received payment (whether net of Expenses incurred in connection therewith) under the Company’s Restated Certificate of Incorporation, the Company’s Amended and Restated By-laws, any insurance policy, by law, the Constituent Documents and Other Indemnity Provisions or otherwise) of the amounts otherwise indemnifiable hereunder.

Xx Duplication of Payments. The Subject to Section 13, the Company shall not be liable under this Agreement to make any payment in connection with any claim made against Indemnitee of amounts otherwise indemnifiable hereunder (or for which advancement is provided hereunder) if and to the extent that Indemnitee has otherwise actually received payment (whether for such amounts under the Company’s Restated Certificate of Incorporation, the Company’s Amended and Restated By-laws, any insurance policy, by lawcontract, agreement or otherwise) of the amounts otherwise indemnifiable hereunder. 10.

The Notwithstanding anything herein to the contrary, the Company shall not be liable under this Agreement to make any payment in connection with any claim Claim made against Indemnitee to the extent Indemnitee has otherwise actually received payment (whether under the Company’s Restated Certificate of Incorporationany insurance policy, any other agreement, the Company’s Amended Certificate and Restated By-laws, any insurance policy, by law, Bylaws or otherwise) of the amounts otherwise indemnifiable hereunder.

The Subject to the provisions of Section 15 above, the Company shall not be liable under this Agreement to make any payment in connection with any claim made against Indemnitee of amounts otherwise indemnifiable hereunder (or for which advancement is provided hereunder) if and to the extent that Indemnitee has otherwise actually received payment (whether for such amounts under the Company’s Restated Certificate of Incorporation, the Company’s Amended and Restated By-laws, any insurance policy, by lawcontract, agreement or otherwise) of the amounts otherwise indemnifiable hereunder.
