XX XX Conditions Precedent. Notwithstanding anything to the contrary contained herein, HSRE XX XX Member and Purchaser shall be under no obligation to complete the transactions contemplated in this Section 3 unless and until the following conditions have been satisfied prior to December 31, 2010 or such later date as mutually agreed upon by HSRE XX XX Member and Purchaser (collectively, the “XX XX Conditions Precedent”): (i) the consummation of the IPO and (ii) HSRE XX XX Member and Purchaser have received the written consent (the “XX XX Lender Consent”) of the XX XX Lender, if required under the applicable loan documents, in a form reasonably acceptable to HSRE XX XX Member and Purchaser consenting to the transactions contemplated herein, including, but not limited to, (A) the release of HSRE-CC II Springing, LLC, a Delaware limited liability company, from its obligations as a springing member of each of the Milledgeville Property Owner and Campus Crest at Milledgeville Manager, LLC, a Delaware limited liability company (the “Milledgeville Manager”) and (B) the resignation of Xxxxxxx X. Xxxxxx and Xxxxxxxxxxx X. Xxxxxxx as directors of Milledgeville Manager, provided, however, that the failure of the XX XX Lender to modify the recourse provisions or release or alter the liability of the then existing guarantors under the loan documents shall not be the basis for Purchaser to withhold its approval of the XX XX Lender Consent.
