Xxxx Directors and Officers. On or prior to the IPO Closing Date, Parent and Xxxx shall take all necessary actions so that, as of the IPO Closing Date, the directors and executive officers of Xxxx shall be those set forth in the IPO Registration Statement, unless otherwise agreed by the Parties.
