XXXX PAYMENTS MADE THROUGH DIRECT SERVICES. You acknowledge and agree that: a. xxxx payments made through Direct Services are not processed immediately and that the time period for processing depends upon a number of factors, including, without limitation, the time when the xxxx payment is authorized and the internal accounting processes of the xxxx payment recipient; b. it is your responsibility to ensure that xxxx payments are authorized in sufficient time for the payment to be received by the xxxx payment recipient before its due date; c. we will not be liable for any cost, expense, loss, damage, or inconvenience of any nature or kind whatsoever arising as a result of any error, non-payment or a delay in the processing of xxxx payments; d. if you have made or received a xxxx payment in error, we may, but are not obliged to, assist you by initiating or processing a “Xxxx Payment Error Correction Debit”, as defined under the Rules, and if so initiated, you agree to indemnify us for any direct loss, costs, or damages incurred, and will pay to us any reasonable service charges or fees related to the provision of the service; and e. if we, absent gross negligence or wilful misconduct, initiate or process a Xxxx Payment Error Correction Debit affecting your accounts or affairs, we shall be held harmless for any and all loss, costs, or damages suffered or incurred by you, howsoever caused, relating to the xxxx payment or the Xxxx Payment Error Correction Debit process.
