Xxxx Waivers. During the advertisement period, final lien waivers must be obtained from the subcontractors and major suppliers; as indicated on the form named Lien Waivers included in the Project Manual. If the Contractor is still holding retainage from the subcontractors or suppliers, the lien waivers shall indicate as such.
Xxxx Waivers. In order to be valid, each invoice submitted by the Service Provider must be accompanied by interim lien waivers and releases, in the form and substance as provided by Owners, executed by the Service Provider with respect to the Services completed prior to the date of such invoice.
Xxxx Waivers. Lender shall receive executed lien waivers from contractors for all work performed.
Xxxx Waivers. As a condition precedent to each payment under this Agreement, including the final payments, not later than the date of payment request, the Contractor shall furnish affidavits and lien waivers and releases in the form attached hereto, confirming that no liens or rights in rem of any kind lie upon or have attached against the Property, the Services or materials, articles or equipment therefore and shall furnish such other documents as may be required by the County as may be necessary in its judgment to protect its interests, including, without limitation, monthly waivers of mechanics’, laborers’ and materialmen’s liens by all subcontractors and all suppliers who have supplied material and/or labor for the Services. The Contractor agrees that no liens or rights in rem shall so lie or attach, and the Contractor shall indemnify and hold harmless from and against such liens, rights and any and all expenses incurred by the Contractor or the County in discharging them.

If Lessee attaches or affixes any Equipment to any real property or 1 any building located thereon, Lessee shall obtain Lessor’s written approval thereof, provided 2 however, Xxxxxx shall first obtain from all persons who may claim any interest in the affected 3 real property their written waivers of interest or liens in the Equipment satisfactory in form and 4 substance to Lessor and as to legal form to its counsel. Lessor shall be permitted to record those 5 written waivers of interest or liens against the title of the affected real property.
Xxxx Waivers. Upon receipt of a written request from Granter, Grantee will provide Grantor with lien waivers following completion of the Due Diligence Activities from each and every contractor, materialman, engineer, architect and surveyor who might have lien rights, in form and substance reasonably satisfactory to Granter and its counsel. Xxxxxxx hereby indemnifies Grantor from and against any claims or demands for payment, or any liens or lien claims made against Grantor or the Property as a result of the Due Diligence Activities.
Xxxx Waivers. At such time as the Independent Engineer requires, in order to deliver the certification required by subsection 4.2G(i), the Independent Engineer, on behalf of Agent, shall have received sworn Lien waiver statements evidencing receipt of payment by the EPC Contractor, the contractor under the Gathering System Contract, the contractor under the Transmission Line Contract, the contractor under the ThermaSource Drilling Contract and any contractors under any other construction contract of $250,000 or more (taking into account all Change Orders) and any subcontractor who is party to a subcontract of $250,000 or more (taking into account all Change Orders) (collectively, the “Contractors”), which statements may assume receipt of payment in a specified amount from the requested Advance and shall be in form and substance as required by NRS 108.2457 and other applicable Law. Such Lien waiver statements required under this subsection 4.2H shall cover all such work, labor and materials done, performed or furnished at, for, or to the NGP I Property (including without limitation any work funded with the proceeds of equity contributions). If any Contractor refuses to supply a Lien waiver statement or NGP I is unable to obtain a Lien waiver statement despite reasonable efforts to do so (“Nonwaiving Contractors”), then, in lieu of the foregoing Lien waivers, Issuer shall cause NGP I to: (i) provide Agent with a cash deposit or other security reasonably acceptable to Agent in the maximum amount of the lienable amount that may be due to the Nonwaiving Contractor, plus all amounts that may be awarded to him by the court pursuant to NRS 108.237 or other applicable Law; or (ii) cause the EPC Contractor to issue a letter of credit in form and substance satisfactory to Agent, in the face amount equal to at least the aggregate lienable amount of the Nonwaiving Contractors.
Xxxx Waivers. Borrower shall provide Bank with duly executed written lien waivers in favor of Bank from each lessor, bailee, warehouseman, materialman, mortgagee or similarly situated person or entity who may, with respect to any location at which any of the collateral for the Subject Indebtedness is to be located or stored, by operation of law or otherwise, have any lien or like interest in or upon such collateral.
Xxxx Waivers. By submitting an Application for Payment, the General Contractor warrants that full and complete title will vest in the Owner with regard to all Work covered by an Application for Payment, no later than the time of such payment. Additionally, all Work represented by a submitted Application for Payment shall be free and clear of any and all liens, claims, security interests or encumbrances in favor of any person or entity. Each Application for Payment shall be accompanied by a Partial Waiver and Release of Lien Upon Progress Payment, pursuant to s. 713.20, Florida Statutes, from the General Contractor and each subcontractor, and, with the exception of the initial Application for Payment, a certificate from each subcontractor and other potential lienor stating that the subcontractor has been paid all amounts due the subcontractor or other potential lienor from previous Applications for Payment. The General Contractor shall also submit with each Application for Payment, after the initial application, a certificate stating that it has paid all subcontractors all amounts due the subcontractors from previous Applications for Payment. The General Contractor is responsible for collecting all waivers and releases of liens upon progress payment and all certificates from all subcontractors or other potential lienors and submitting them together with the Application for Payment. Owner shall not consider the Application for Payment as complete unless all appropriate waivers and releases of liens are received. Once payment is made, each waiver and release of lien shall be unconditional with respect to all labor, services, or materials furnished for that associated Application for Payment. In addition to the foregoing, the following documents must be submitted with each Application for Payment:
