Xxxx-Xxxxx-Xxxxxx Act Filings. Each party covenants and ----------------------------- agrees to file, if required, on a date no later than ten days from the date hereof a notification and report form pursuant to the Xxxx-Xxxxx-Xxxxxx Act with respect to the purchase by the Purchaser of the Shares pursuant to this Agreement and will provide promptly any supplemental information that may be requested in connection therewith. Each party will comply with all reasonable requests of the other party for information necessary in connection with the preparation by such other party of its notification and report form.
Xxxx-Xxxxx-Xxxxxx Act Filings. Parent and Purchaser shall ----------------------------- promptly file an acquiring person's notification and report form required by the HSR Act, and the Company shall promptly file an acquired person's notification and report form required by the HSR Act, with respect to the transactions contemplated by this Agreement and the Stock Option and Tender Agreement. Each filing party shall seek early termination of the waiting period under the HSR Act applicable to such transactions, and each shall respond promptly to any request for additional information it shall receive from the Federal Trade Commission or the Department of Justice.
Xxxx-Xxxxx-Xxxxxx Act Filings. The applicable waiting period (including any extension thereof by reason of a request for additional information), if any, under the HSR Act shall have expired or been terminated.
Xxxx-Xxxxx-Xxxxxx Act Filings. Seller will (a) take promptly all actions necessary to make the filings required of Seller or Seller’s affiliates under the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976 and the rules and regulations promulgated thereunder (the “HSR Act”), (b) comply at the earliest practicable date with any request for additional information received by Seller or Seller’s affiliates from the Federal Trade Commission (the “FTC”) or Antitrust Division of the Department of Justice (the “DOJ”) pursuant to the HSR Act, and (c) cooperate with Purchaser in connection with Purchaser’s filings under the HSR Act and in connection with resolving any investigation or other regulatory inquiry concerning the transactions contemplated by this Agreement commenced by either the FTC or the DOJ. All fees and expenses of Seller incurred in connection with Seller’s filing under the HSR Act shall be borne by the parties in accordance with Section 12.12.
Xxxx-Xxxxx-Xxxxxx Act Filings. To the extent required by law, the Purchasers shall (a) take promptly all actions necessary to make the filings required of the Purchasers or their affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by the Purchasers or their affiliates from the FTC or the DOJ pursuant to the HSR Act, and (c) cooperate with the Sellers in connection with the Sellers’ or the Sellers’ affiliates’ filings under the HSR Act and in connection with resolving any investigation or other regulatory inquiry concerning the transactions contemplated by this Agreement commenced by either the FTC or the DOJ. All filing fees imposed in connection with the Purchasers’ filings under the HSR Act shall be borne by the Purchasers.
Xxxx-Xxxxx-Xxxxxx Act Filings. Seller and Buyer shall each cooperate ----------------------------- and use all reasonable efforts to prepare and file with the Federal Trade Commission ("FTC") and the Antitrust Division of the United States Department of Justice ("DOJ") and other regulatory authorities, within twenty (20) days after the execution and delivery of this Agreement, all requisite applications and amendments thereto, together with related information, data and exhibits, necessary to satisfy the requirements of the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976, as amended (the "Xxxx-Xxxxx Act") with respect to the transactions contemplated hereby. Seller and Buyer will keep the other party apprised of the status of any inquiries made of such party by the FTC, the DOJ or any other governmental agency with respect to this Agreement or the transactions contemplated hereby. Any filing fees in connection with such filing shall be split equally between the Seller and Buyer.
Xxxx-Xxxxx-Xxxxxx Act Filings. To the extent such filings have not been completed prior to the execution of this Agreement, each of the Shareholders shall cooperate with Buyer in its efforts to comply with the HSR Act. Prior to making any communication, written or oral, with the Federal Trade Commission, the Antitrust Division of the federal Department of Justice or any other governmental agency or authority or members of their respective staffs with respect to this Agreement or the transactions contemplated hereby, the parties shall consult each other.
Xxxx-Xxxxx-Xxxxxx Act Filings. Buyer and Seller shall cooperate in ----------------------------- making all filings required to be made under the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 0000 (xxx "XXX Xxx"), with all governmental authorities having jurisdiction with respect to the purchase of Assets under this Agreement.
Xxxx-Xxxxx-Xxxxxx Act Filings. Each of Parent and the Company shall promptly file any notification and report forms and related materials required under the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976, as amended (the “Xxxx-Xxxxx-Xxxxxx Act”), and shall make any further filings pursuant thereto as may be necessary, proper or advisable in connection therewith, shall supply all information required in connection therewith and shall cooperate with each other in responding to any such request. Parent and the Company shall each be responsible for one-half of the filing fees required to be paid under the Xxxx-Xxxxx-Xxxxxx Act at the date of initial filing.
Xxxx-Xxxxx-Xxxxxx Act Filings. The Buyer and the Company shall use their reasonable efforts to promptly make all required filings under the Xxxx-Xxxxx-Xxxxxx Act and under any other applicable competition laws outside the United States, shall cooperate with each other in the preparation of such filings, and shall furnish all follow-up information required in connection therewith; provided, however, that notwithstanding anything to the contrary in this Agreement, the Buyer shall not be obligated (a) to respond to formal requests for additional information or documentary material pursuant to 16 C.F.R. 803.20 under the Xxxx-Xxxxx-Xxxxxx Act except to the extent it elects to do so in its sole discretion or (b) to sell or dispose of or hold separately (through a trust or otherwise) any assets or businesses of the Buyer or its affiliates. The Buyer and the Company shall each be responsible for one half (1/2) of all filing fees required to be paid under the Xxxx-Xxxxx-Xxxxxx Act, provided that the Company shall not be responsible for more than $25,000 in the aggregate for such fees and for expenses incurred in connection with preparing and making all required filings under the Xxxx-Xxxxx-Xxxxxx Act and under any other applicable competition laws outside the United States.
