Common use of Xxxx-Xxxxx-Xxxxxx Act Clause in Contracts

Xxxx-Xxxxx-Xxxxxx Act. Filing under the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976 (the “HSR Act”) may be required. If filing or notice or other action is required under the HSR Act with respect to the transactions outlined herein, then Buyer shall effect such filing or notice and Buyer and Seller shall each pay for 50% of the filing fees required by the HSR Act . Buyer and Seller shall each be responsible for their own attorney fees incurred to effect such filing. Seller shall cooperate fully with Buyer in said action and promptly provide all requisite information.

Act; provided, that Buyer and Seller shall each be responsible for their own attorney fees incurred to effect such filingwill pay Seller’s share of the filing fee. Seller shall cooperate fully with Buyer in said action and promptly provide all requisite information.

If filing or notice or other action is required under the HSR Act with respect to the transactions outlined herein, then Buyer shall effect be responsible for such filing or notice and Buyer and Seller Sellers shall each pay for 50% one-half of the all costs, including filing fees required by the HSR Act and attorneys’ fees, associated therewith. Buyer and Seller shall each be responsible for their own attorney fees incurred to effect such filing. Seller Sellers shall cooperate fully with Buyer in said action and promptly provide all requisite information.
