Common use of Xxxxxx and Dividend Rights Clause in Contracts

Xxxxxx and Dividend Rights. The holders of Restricted Shares awarded under the Plan shall have the same voting, dividend and other rights as the Company’s other stockholders. A Restricted Share Award Agreement, however, may require that the holders of Restricted Shares invest any cash dividends received in additional Restricted Shares. Such additional Restricted Shares shall be subject to the same conditions and restrictions as the Award with respect to which the dividends were paid.

Such additional Restricted Shares shall be subject forfeited if the Participant attempts to sell, transfer, assign, pledge or otherwise encumber or dispose of the same conditions and restrictions as Shares before the Award with respect to which the dividends were paidvests.
