Common use of Xxxxx'x Rating Event Clause in Contracts

Xxxxx'x Rating Event. So long as the Transfer Trigger Requirements apply, Party A will at its own cost use commercially reasonable efforts to, as soon as reasonably practicable, either (A) procure an Eligible Guarantee in respect of all of Party A’s present and future obligations under this Agreement from a guarantor with a Qualifying Transfer Trigger Rating and or (B) transfer its rights and obligations under this Agreement in accordance with Part 5(q) (Transfers) below.

Xxxxx'x Rating Event. (A) So long as the Transfer Trigger Requirements apply, Party A will will, at its own cost cost, use commercially reasonable efforts to, as soon as reasonably practicable, either (A1) procure an Eligible Guarantee in respect of all of Party A’s its present and future obligations under this Agreement from a guarantor with a Qualifying Transfer Trigger Rating and or (B2) transfer its rights and obligations under this Agreement in accordance with Part 5(q) (Transfers) belowto a Xxxxx'x Eligible Replacement.
