Xxxxxxx Contributed Subsidiary Carryforwards. If a portion or all of any Xxxxxxx Contributed Subsidiary Carried Item is allocated to a member of a Combined Group pursuant to Section 5, and is carried forward to an Xxxxxxx Contributed Subsidiary Non-Xxxxxxx Group Tax Return, any Tax benefits arising from such carryforward shall be retained by the Newco Group.
