Maintaining regular and ongoing contact with the designated representative of Minot. e. Tracking and monitoring the progress of interim initiatives, studies and legislative committees, and state legislative bills that are identified as being of special interest to Minot. f. Providing a monthly activity report.
Xxxxxxx’x Responsibilities. Xxxxxxxx must: 1) maintain adequate personal records of data required for preparation and examination of income tax returns and for income tax equalization computation; 2) file all required United States and foreign income tax returns; 3) cooperate with the designated CPA firm to take advantage of available tax credits; and 4) make any related payment of taxes in the required amounts and within the required deadlines. Xxxxxxxx’ share of the overall income tax for a period of international assignment is the tax he would have paid had he been on assignment in the United States. This tax is the final (equalized) hypothetical tax plus (or minus) the tax cost (or benefit) on his net outside income (income from any source other than UKESL compensation). Xxxxxxxx is responsible for making estimated tax payments on non-UKESL income and any interest or penalties imposed by any governmental tax service relative to unequalized items and non-UKESL income. Xxxxxxxx will return any refunds obtained from carryovers relative to UKESL source income, e.g., excess foreign tax credits, promptly to UKESL. In the event of a refund, UKESL has the right to have Xxxxxxxx file an amended tax return or the right to xxxx Xxxxxxxx for the amount of the refund if Xxxxxxxx refuses to file an amended return.
Xxxxxxx’x Responsibilities. X. Xxxxxxxx shall provide a GME program (“Program”) that meets standards established by the Accreditation Council for Graduate Medical Education (ACGME), or Council for Podiatric Medical Education (CPME), as well as other Specialty Boards, as applicable. X. Xxxxxxxx shall provide policies, rules and regulations clearly defining the duties and privileges of the Trainee (“Program Manuals” and/or “House Staff Manual” and/or “Handbook” and/or “GME Policies,” as applicable in electronic or paper format, collectively “Program Policies.” At all times while fulfilling his/her obligations under this Agreement, the Trainee shall adhere to all Program Policies as well as all applicable Beaumont rules, regulations, policies, procedures and guidelines (“Beaumont Policies”). Additionally, the Trainee shall adhere to all applicable state, federal and local laws, and standards required for Beaumont to maintain accreditation by the Joint Commission, ACGME, CPME, and any other relevant accrediting, certifying, or licensing organizations, including the Michigan Board of Medicine. The parties acknowledge that various policies and procedures referenced herein may be revised, amended or newly issued from time to time, and Trainee shall adhere to any and all revised, amended, or new policies, when they become effective. In the event of a conflict of terms, the terms of this Agreement take precedence over Program Policies and Beaumont Policies. Similarly, Program Policies take precedence over Beaumont Policies. X. Xxxxxxxx shall address complaints and grievances in a timely manner. Trainee agrees that the GME Grievances and Due Process Policy is the sole, final and binding remedy for all grievances related to Trainee’s participation in the Program, including suspension, non-promotion, non-renewal, or dismissal. X. Xxxxxxxx shall provide compensation and benefits, including health care, disability and professional liability insurances, to Trainee as summarized in Exhibit A. Trainee is responsible for enrolling in benefits annually. A premium contribution from the Trainee may be required for health care and financial protection benefits. Xxxxxxx’x Responsibilities. 6.1 GILBERT shall provide to PM/CM complete information regarding XXXXXXX’x requirements for the Project. 6.2 GILBERT shall examine information submitted by PM/CM and shall render decisions pertaining thereto promptly. 6.3 If GILBERT observes or otherwise becomes aware of any fault or defect in the Project or PM/CM’s services, or any nonconformity with the Contract Documents, GILBERT shall give prompt written notice thereof to PM/CM, provided however, this shall not diminish PM/CM’s obligations to notify GILBERT of any such fault or defect. 6.4 GILBERT shall furnish PM/CM with a copy of its written Contract between GILBERT, A/E, and CM@R, including amendments. Xxxxxxx’x Responsibilities. Xxxxxxx agrees to perform the following with respect to the Stock: Manage and care for the Stock in a good and workmanlike manner. Furnish all labor required to maintain the proper health, care and maintenance of the Stock. Employ mob grazing maintaining the Stock’s continuous access to pasture when weather permits, maintaining a continuous supply of quality forage. Procure and feed all xxxxx of hay necessary at Owner’s cost, with Owner’s advance agreement on cost. Provide mineral supplementation and salt through a free-choice cafeteria style program at Owner’s cost. Provide adequate and safe drinking water for the Stock at all times. Maintain fencing in a reasonable manner to prevent escape of Stock from Land. Assist Owner in loading and unloading the Stock at Land. Regularly inspect and monitor the health of the Stock and make reasonable arrangements for care by a licensed veterinarian, as needed, at Owner’s cost. Xxxxxxx shall provide prompt verbal notice Owner of such arrangements, followed by written notice. Provide prompt verbal notice to Owner if Xxxxxxx becomes aware that any of the Stock is apparently suffering from illness or accident, followed by written notice. In the event that the animal urgently needs care, and the Owner is not immediately available, Xxxxxxx shall call in a licensed veterinarian at Owner’s expense. Ear tag all new calves, replace lost ear tags, and procure tags at Owner’s expense. Owner and Xxxxxxx will agree upon numbering system. Maintain adequate grazing charts, medical records, and herd records. All such records (concerning Owner’s Stock only) shall be subject to review by Owner at any time.
