Common use of Xxxxxxxx-Xxxxx Backup Certification Clause in Contracts

Xxxxxxxx-Xxxxx Backup Certification. For so long as any Senior Companion Loan Securitization Trust is subject to the reporting requirements of the Exchange Act, the Certificate Administrator, the Servicer, the Special Servicer and the Trustee shall provide (and with respect to any other Servicing Function Participant of such party, shall cause such Servicing Function Participant to provide) to the Person who signs the Xxxxxxxx-Xxxxx Certification with respect to such Senior Companion Loan Securitization Trust (the “Certifying Person”) no later than March 1 of the year following the year to which the Form 10-K of such Senior Companion Loan Securitization Trust relates or, if March 1 is not a Business Day, on the immediately following Business Day, a certification in the form attached to this Agreement as Exhibit X-1, Exhibit X-2, Exhibit X-3 or Exhibit X-4, as applicable, on which the Certifying Person, the entity for which the Certifying Person acts as an officer, and such entity’s officers, directors and Affiliates (collectively with the Certifying Person, “Certification Parties”) can reasonably rely. In the event any Reporting Servicer is terminated or resigns pursuant to the terms of this Agreement, or any applicable sub-servicing agreement or primary servicing agreement, as the case may be, such Reporting Servicer shall provide a certification to the Certifying Person pursuant to this Section 13.11 with respect to the period of time it was subject to this Agreement or the applicable sub-servicing or primary servicing agreement, as the case may be.

Xxxxxxxx-Xxxxx Backup Certification. For so long as any Senior Companion Loan Securitization Trust is subject to the reporting requirements of the Exchange Act, the Certificate Administrator, the Servicer, the Special Servicer and the Trustee shall provide (and with respect to any other Servicing Function Participant of such party, shall cause such Servicing Function Participant to provide) to the Person who signs the Xxxxxxxx-Xxxxx Certification with respect to such Senior Companion Loan Securitization Trust (the “Certifying Person”) no later than March 1 of the year following the year to which the Form 10-K of such Senior Companion Loan Securitization Trust relates or, if March 1 is not a Business Day, on the immediately following Business Day, a certification in the form attached to this Agreement as Exhibit X-1V-1, Exhibit X-2V-2, Exhibit X-3 V-3 or Exhibit X-4V-4, as applicable, on which the Certifying Person, the entity for which the Certifying Person acts as an officer, and such entity’s officers, directors and Affiliates (collectively with the Certifying Person, “Certification Parties”) can reasonably rely. In the event any Reporting Servicer is terminated or resigns pursuant to the terms of this Agreement, or any applicable sub-servicing agreement or primary servicing agreement, as the case may be, such Reporting Servicer shall provide a certification to the Certifying Person pursuant to this Section 13.11 with respect to the period of time it was subject to this Agreement or the applicable sub-servicing or primary servicing agreement, as the case may be.

For so long as any Senior Companion Loan Other Securitization Trust is subject to the reporting requirements of the Exchange Act, the Certificate Administrator, the Servicer, the Special Servicer Servicer, the Custodian and the Trustee shall provide (and with respect to any other Servicing Function Participant of such party, shall cause such Servicing Function Participant to provide) to the Person who signs the Xxxxxxxx-Xxxxx Certification with respect to such Senior Companion Loan Other Securitization Trust (the “Certifying Person”) no later than March 1 of the year following the year to which the Form 10-K of such Senior Companion Loan Other Securitization Trust relates or, if March 1 is not a Business Day, on the immediately following Business Day, a certification in the form attached to this Agreement as Exhibit X-1X-0, Xxxxxxx X-0, Exhibit X-2X-0, Xxxxxxx X-0, Exhibit X-3 or Z-5 and Exhibit X-4Z-6, as applicable, on which the Certifying Person, the entity for which the Certifying Person acts as an officer, and such entity’s officers, directors and Affiliates (collectively with the Certifying Person, “Certification Parties”) can reasonably rely. In the event any Reporting Servicer is terminated or resigns pursuant to the terms of this Agreement, or any applicable sub-servicing agreement or primary servicing agreement, as the case may be, such Reporting Servicer shall provide a certification to the Certifying Person pursuant to this Section 13.11 with respect to the period of time it was subject to this Agreement or the applicable sub-servicing or primary servicing agreement, as the case may be.

Xxxxxxxx-Xxxxx Backup Certification. For so long as any Senior Companion Loan Other Securitization Trust is subject to the reporting requirements of the Exchange Act, the Certificate Administrator, the Servicer, the Special Servicer and the Trustee shall provide (and with respect to any other Servicing Function Participant of such party, shall cause such Servicing Function Participant to provide, or, if the Servicing Funding Participant is a Sub-Servicer set forth on Exhibit V, shall use commercially reasonable efforts to cause to be provided) to the Person who signs the Xxxxxxxx-Xxxxx Certification with respect to such Senior Companion Loan Other Securitization Trust (the “Certifying Person”) no later than March 1 of the year following the year to which the Form 10-K of such Senior Companion Loan Other Securitization Trust relates or, if March 1 is not a Business Day, on the immediately following Business Day, a certification in the form attached to this Agreement as Exhibit X-1Y-1, Exhibit X-2Y-2, Exhibit X-3 or Y-3, Exhibit X-4Y-4 and Exhibit Y-5, as applicable, on which the Certifying Person, the entity for which the Certifying Person acts as an officer, and such entity’s officers, directors and Affiliates (collectively with the Certifying Person, “Certification Parties”) can reasonably rely. In the event any Reporting Servicer is terminated or resigns pursuant to the terms of this Agreement, or any applicable sub-servicing agreement or primary servicing agreement, as the case may be, such Reporting Servicer shall provide a certification to the Certifying Person pursuant to this Section 13.11 with respect to the period of time it was subject to this Agreement or the applicable sub-servicing or primary servicing agreement, as the case may be.

For so long as any Senior Companion Loan Other Securitization Trust is subject to the reporting requirements of the Exchange Act, the Certificate Administrator, the Servicer, the Special Servicer Servicer, the Custodian, the Trustee and the Trustee Operating Advisor shall provide (and with respect to any other Servicing Function Participant of such party, shall cause such Servicing Function Participant to provide) to the Person who signs the Xxxxxxxx-Xxxxx Certification with respect to such Senior Companion Loan Other Securitization Trust (the “Certifying Person”) no later than March 1 of the year following the year to which the Form 10-K of such Senior Companion Loan Other Securitization Trust relates or, if March 1 is not a Business Day, on the immediately following Business Day, a certification in the form attached to this Agreement as Exhibit X-1X-0, Xxxxxxx X-0, Exhibit X-2Z-3, Exhibit X-3 or X-0, Xxxxxxx X-0, Exhibit X-4Z-6 and Exhibit Z-7, as applicable, on which the Certifying Person, the entity for which the Certifying Person acts as an officer, and such entity’s officers, directors and Affiliates (collectively with the Certifying Person, “Certification Parties”) can reasonably rely. In the event any Reporting Servicer is terminated or resigns pursuant to the terms of this Agreement, or any applicable sub-servicing agreement or primary servicing agreement, as the case may be, such Reporting Servicer shall provide a certification to the Certifying Person pursuant to this Section 13.11 with respect to the period of time it was subject to this Agreement or the applicable sub-servicing or primary servicing agreement, as the case may be.

Xxxxxxxx-Xxxxx Backup Certification. For so long as any Senior Companion Loan Securitization Trust is subject The Primary Servicer agrees to execute and provide to the reporting requirements of the Exchange Act, the Certificate Administrator, the Servicer, the Special Master Servicer and the Trustee shall provide (and with respect to any other Servicing Function Participant of such party, shall cause such Servicing Function Participant to provide) to the Person who signs the Xxxxxxxx-Xxxxx Certification with respect to such Senior Companion Loan Securitization Trust (the “Certifying Person”) no later than March 1 of the year following the year to which the Form 10-K of such Senior Companion Loan Securitization Trust relates or, if March 1 is not a Business Day, on the immediately following Business Day, a backup certification in the form attached to this Agreement hereto as Exhibit X-1, Exhibit X-2, Exhibit X-3 or Exhibit X-4, as applicableD ("Backup Certification"), on which the Certifying PersonMaster Servicer and its related Certification Parties may rely, the entity for in support of any certification obligation to which the Certifying Person acts as an officer, Master Servicer is subject under the Pooling and such entity’s officers, directors and Affiliates (collectively Servicing Agreement in connection with the Certifying Person, “Certification Parties”) can reasonably relycertification requirements of the Xxxxxxxx-Xxxxx Act of 2002 and the rules and regulations promulgated by the Commission thereunder (including any interpretations thereof by the staff of the Commission). In If the event any Reporting Primary Servicer is terminated or resigns pursuant to the terms of this Agreement, or any applicable sub-servicing agreement or primary servicing agreement, as the case may be, such Reporting Servicer it shall provide a certification Backup Certification to the Certifying Person Master Servicer pursuant to this Section 13.11 5.11 with respect to the period of time it the Primary Servicer was subject to this Agreement. The Backup Certification shall not increase the liability of Primary Servicer beyond its obligations under this Agreement except to the limited extent necessary to permit the Master Servicer to meet its certification obligations under Section 8.26 of the Pooling and Servicing Agreement with respect to the Xxxxxxxx-Xxxxx Act of 2002, it being understood that the Primary Servicer shall indemnify and hold harmless the Master Servicer in its capacity as Certifying Person and each related Certification Party from and against any losses, damages, penalties, fines, forfeitures, reasonable and necessary legal fees and related costs, judgments and other costs and expenses incurred by the Master Servicer in its capacity as Certifying Person and/or such Certification Party arising out of (i) an actual breach by the Primary Servicer of its obligations under this Section 5.11 or (ii) negligence, bad faith or willful misconduct on the part of the Primary Servicer in the performance of such obligations. Nothing contained in this Section shall be construed to require any party to this Agreement (other than the Master Servicer), or any of such party's officers, to execute any Form 8-K, Form 10-K or any Xxxxxxxx-Xxxxx Certification. The failure of any party to this Agreement (other than the Master Servicer), or any of such party's officers, to execute any Form 8-K, Form 10-K or any Xxxxxxxx-Xxxxx Certification shall not be regarded as a breach by such party of any of its obligations under this Agreement. The Master Servicer and Primary Servicer hereby agree to negotiate in good faith with respect to compliance with any further guidance from the Commission or its staff relating to the execution of any Form 8-K, Form 10-K and any Xxxxxxxx-Xxxxx Certification. This Agreement may be amended by the parties hereto pursuant to Section 10.12 for purposes of complying with the Xxxxxxxx-Xxxxx Act of 2002 or for purposes of designating the Certifying Person, which amendment shall not require any Opinions of Counsel, Officer's Certificates, Rating Agency Confirmations or the consent of any Certificateholder, notwithstanding anything to the contrary contained in this Agreement or the applicable sub-servicing or primary servicing agreement, as the case may bePooling and Servicing Agreement.

Xxxxxxxx-Xxxxx Backup Certification. For so long as any Senior Companion Loan Other Securitization Trust is subject to the reporting requirements of the Exchange Act, the Certificate Administrator, the Servicer and the Special Servicer, the Special Servicer Operating Advisor, the Custodian and the Trustee shall provide (and with respect to any other Servicing Function Participant of such party, shall cause such Servicing Function Participant to provide) to the Person who signs the Xxxxxxxx-Xxxxx Certification with respect to such Senior Companion Loan Other Securitization Trust (the “Certifying Person”) no later than March 1 15 of the year following the year to which the Form 10-K of such Senior Companion Loan Other Securitization Trust relates or, if March 1 15 is not a Business Day, on the immediately following Business Day, a certification in the form attached to this Agreement as Exhibit X-1, Exhibit X-2, Exhibit X-3 or Exhibit X-4, as applicableAA, on which the Certifying Person, the entity for which the Certifying Person acts as an officer, and such entity’s officers, directors and Affiliates (collectively with the Certifying Person, “Certification Parties”) can reasonably rely. In the event any Reporting Servicer is terminated or resigns pursuant 226 to the terms of this Agreement, or any applicable sub-servicing agreement or primary servicing agreement, as the case may be, such Reporting Servicer shall provide a certification to the Certifying Person pursuant to this Section 13.11 11.11 with respect to the period of time it was subject to this Agreement or the applicable sub-servicing or primary servicing agreement, as the case may be.

In the event any Reporting Servicer is terminated or resigns pursuant to the terms of this Agreement, or any applicable sub-servicing agreement or primary servicing agreement, as the case may be, such Reporting Servicer shall provide a certification to the Certifying Person pursuant to this Section 13.11 with respect to the period of time it was subject to this Agreement or the applicable sub-servicing or primary servicing agreement, as the case may be.

In the event any Reporting Servicer is terminated or resigns pursuant to the terms of this Agreement, or any applicable sub-servicing agreement or primary servicing agreement, as the case may be, such Reporting Servicer shall provide a certification to the Certifying Person pursuant to this Section 13.11 with respect to the period of time it was subject to this Agreement or the applicable sub-servicing or primary servicing agreement, as the case may be.

For so long as any Senior Companion Loan Other Securitization Trust is subject to the reporting requirements of the Exchange Act, the Certificate Administrator, the Servicer, Servicer and the Special Servicer and the Trustee shall provide (and with respect to any other Servicing Function Participant of such party, shall cause such Servicing Function Participant to provide) to the Person who signs the Xxxxxxxx-Xxxxx Certification with respect to such Senior Companion Loan Other Securitization Trust (the “Certifying Person”) no later than March 1 15 of the year following the year to which the Form 10-K of such Senior Companion Loan Other Securitization Trust relates or, if March 1 15 is not a Business Day, on the immediately following Business Day, a certification in the form attached to this Agreement as Exhibit X-1, Exhibit X-2, Exhibit X-3 or Exhibit X-4, as applicableX, on which the Certifying Person, the entity for which the Certifying Person acts as an officer, and such entity’s officers, directors and Affiliates (collectively with the Certifying Person, “Certification Parties”) can reasonably rely. In the event any Reporting Servicer is terminated or resigns pursuant to the terms of this Agreement, or any applicable sub-servicing agreement or primary servicing agreement, as the case may be, such Reporting Servicer shall provide a certification to the Certifying Person pursuant to this Section 13.11 11.11 with respect to the period of time it was subject to this Agreement or the applicable sub-servicing or primary servicing agreement, as the case may be.

For so long as any Senior Companion Loan Other Securitization Trust is subject to the reporting requirements of the Exchange Act, the Certificate Administrator, the Servicer and the Special Servicer, the Special Servicer Operating Advisor, the Custodian and the Trustee shall provide (and with respect to any other Servicing Function Participant of such party, shall cause such Servicing Function Participant to provide) to the Person who signs the Xxxxxxxx-Xxxxx Certification with respect to such Senior Companion Loan Other Securitization Trust (the “Certifying Person”) no later than March 1 15 of the year following the year to which the Form 10-K of such Senior Companion Loan Other Securitization Trust relates or, if March 1 15 is not a Business Day, on the immediately following Business Day, a certification in the form attached to this Agreement as Exhibit X-1, Exhibit X-2, Exhibit X-3 or Exhibit X-4, as applicableAA, on which the Certifying Person, the entity for which the Certifying Person acts as an officer, and such entity’s officers, directors and Affiliates (collectively with the Certifying Person, “Certification Parties”) can reasonably rely. For so long as any Senior Companion Loan Securitization Trust is subject to the reporting requirements of the Exchange Act, the Certificate Administrator, the Servicer, the Special Servicer and the Trustee shall provide (and with respect to any other Servicing Function Participant of such party, shall cause such Servicing Function Participant to provide) to the Person who signs the Xxxxxxxx-Xxxxx Certification with respect to such Senior Companion Loan Securitization Trust (the “Certifying Person”) no later than March 1 1st of the year following the year to which the Form 10-K of such Senior Companion Loan Securitization Trust relates or, if March 1 1st is not a Business Day, on the immediately following Business Day, a certification in the form attached to this Agreement as Exhibit X-1V-1, Exhibit X-2V-2, Exhibit X-3 V-3 or Exhibit X-4V-4, as applicable, on which the Certifying Person, the entity for which the Certifying Person acts as an officer, and such entity’s officers, directors and Affiliates (collectively with the Certifying Person, “Certification Parties”) can reasonably rely. In the event any Reporting Servicer is terminated or resigns pursuant to the terms of this Agreement, or any applicable sub-servicing agreement or primary servicing agreement, as the case may be, such Reporting Servicer shall provide a certification to the Certifying Person pursuant to this Section 13.11 with respect to the period of time it was subject to this Agreement or the applicable sub-servicing or primary servicing agreement, as the case may be.

For so long as any Senior Companion Loan Other Securitization Trust is subject to the reporting requirements of the Exchange Act, the Certificate Administrator, the Servicer, the Special Servicer Servicer, the Custodian, the Trustee and the Trustee Operating Advisor shall provide (and with respect to any other Servicing Function Participant of such party, shall cause such Servicing Function Participant to provide) to the Person who signs the Xxxxxxxx-Xxxxx Certification with respect to such Senior Companion Loan Other Securitization Trust (the “Certifying Person”) no later than March 1 of the year following the year to which the Form 10-K of such Senior Companion Loan Other Securitization Trust relates or, if March 1 is not a Business Day, on the immediately following Business Day, a certification in the form attached to this Agreement as Exhibit X-1Z-1, Exhibit X-2Z-2, Exhibit X-3 or Z-3, Exhibit X-4Z-4, Exhibit Z-5 and Exhibit Z-7, as applicable, on which the Certifying Person, the entity for which the Certifying Person acts as an officer, and such entity’s officers, directors and Affiliates (collectively with the Certifying Person, “Certification Parties”) can reasonably rely. In the event any Reporting Servicer is terminated or resigns pursuant to the terms of this Agreement, or any applicable sub-servicing agreement or primary servicing agreement, as the case may be, such Reporting Servicer shall provide a certification to the Certifying Person pursuant to this Section 13.11 with respect to the period of time it was subject to this Agreement or the applicable sub-servicing or primary servicing agreement, as the case may be.
