Xxxxxxxxx Terms. 5.1QIAGEN shall pay HTG for the Development work performed by (or on behalf of) HTG under this Agreement in accordance with the fees, timelines, payment terms and budget included with each Statement of Work. Xxxxxxxxx Terms. Any ambiguities in this XXXX will not be strictly construed against the drafter of the language concerned but will be resolved by applying the most reasonable interpretation under the circumstances, giving full consideration to the intentions of the parties at the time of contracting. This XXXX will not be construed against any party by reason of its preparation.
Xxxxxxxxx Terms. 5.1No Payment by the Gates MRI. In furtherance of Global Access, the licenses and other rights granted to the Gates MRI hereunder are royalty-free and no payments will be owed to Atreca by the Gates MRI or its Affiliates, sublicensees, or contractors hereunder or otherwise on account of the Development, Manufacture, and Commercialization of Licensed Products in the Licensed Field in the Territory.
Xxxxxxxxx Terms. (a) This Sublease is subject to and Tenant accepts this Sublease subject to all of the terms, covenants, provisions, conditions and agreements contained in the Xxxxxxxxx and the matters to which the Xxxxxxxxx is subject and subordinate. This Sublease shall also be subject to and Tenant accepts this Sublease also subject to any amendments and supplements to the Xxxxxxxxx hereafter made between Overlandlord and Landlord provided said amendments or supplements do not materially increase Tenant's obligations or liabilities hereunder. Tenant covenants and agrees, (i) to perform and to observe all of the terms, covenants, conditions and agreements of the Xxxxxxxxx on the part of the tenant thereunder to be performed and observed (other than those requiring the payment of "Basic-Rent" which is to be paid hereunder) to the extent that the same are not modified or amended by this Sublease, provided, however. that this language shall not be applied retroactively to require Tenant to remedy any act or omission which occurred prior to the Commencement Date, (ii) that Tenant will not do or cause to be done or suffer or permit any act or thing to be done which would or might cause the Xxxxxxxxx or the rights of Landlord, as tenant thereunder, to be canceled, terminated or forfeited or which would make Landlord liable for any damages, claim or penalty, and (iii) to indemnify and hold harmless Landlord and Overlandlord, from and against airy and all liability, loss, damage, suits, penalties claims and demands of every kind or nature (including without limitation, reasonable attorneys' fees (and disbursements and expenses of defense) by reason of Tenant's failure to comply with the foregoing or arising from Tenant's use, occupancy or management of the Sublease Premises or of any business conducted therein by, or form any work done or any condition created by Tenant, its assignees or subtenants, or their respective employees or agents in or about the Sublease Premises.
Xxxxxxxxx Terms. Notwithstanding the foregoing or anything to the contrary in this Agreement, the payments and benefits described in Sections 2A, 2B, 2C, 2D, 2E, 2F, 2G and 2H above are subject to (i) Executive’s execution of this Agreement within fifty-five (55) days following the Termination Date and not revoking this Agreement before expiration of the seven (7) day revocation period set forth in Section 9E of this Agreement, and (ii) Executive’s continued compliance with the covenants as set forth in Sections 7 and 8 of this Agreement.
