Xxxxxxxxx Transactions. The two daily transmission times for Electronic Transfers are 12:00 p.m. Central and 4:00 p.m. Central. You may cancel a specific Electronic Transfer Instruction prior to the transmission time on the process date for that transaction if it is a business day. Any Electronic Transfer processed before 12:00 p.m. Central must be canceled prior to that time, and any Electronic Transfer processed at 12:00 p.m. or after must be canceled by 4:00 p.m. Central. For Electronic Transfer Instructions scheduled to process on a non-business day, cancellation instructions must be provided before 12:00 p.m. Central of the following business day.
Xxxxxxxxx Transactions. You may cancel a specific Electronic Transfer Instructions up to 4:00 p.m. Central Time on the process date for that transaction if it is a business day. For Electronic Transfers scheduled to process on a non-business day, cancelation instructions must be provided by 4:00 p.m. Central Time on the business date prior to the transfer. You may request a cancellation the same way you provide transfer instructions. You may make the request by telephone, in writing, by contacting your FA, or through means that may later be accepted by Stifel. We cannot accept transfer instructions provided by e-mail.
Xxxxxxxxx Transactions. (1) Borrower shall not, and shall not permit the Gateway Tower Owner to, enter into or be a party to any transaction with any Affiliate of Borrower, except for (a) transactions contemplated by this Agreement with respect to the refinancing of a Property, and (b) any other arrangement, provided that the terms are (i) commercially reasonable and competitive with amounts that would be paid to or received from third parties on an "arm's-length" basis and (ii) reduced to a writing covering all material aspects of such arrangement. Lender acknowledges that, pursuant to the WWG Operating Agreement, the Asset Manager may receive additional compensation (in addition to the Asset Management Fee) for performing certain additional services for Borrower and the Gateway Tower Owner with respect to the Properties, as described in Section 9.2(b)
Xxxxxxxxx Transactions. From and after the date of the Loan Documents, enter into, or be a party to, any transaction with any Affiliate of Borrower, except in connection with any Permitted Debt or the ordinary course of, and pursuant to the reasonable requirements of, Borrower’s business and upon fair and reasonable terms which are fully disclosed in writing to Lender and which are no less favorable to Borrower than Borrower would obtain in a comparable arms-length transaction with a Person or entity not an Affiliate of Borrower.
Xxxxxxxxx Transactions. On behalf of the Subrecipient, Sponsor will establish and operate for the use of the Project a designated account ("an Account") segregated on Sponsor's books. All amounts deposited into a Project's Account will be used in its support, subject to the conditions set forth below. Sponsor will disburse funds from an Account only as requested in writing on properly filled-out Sponsor's vouchers accompanied by required documentation and only as authorized by this contract. Disbursements will be restricted to the support and implementation of the Project only. Documentation must include specific reference to the approved budget by category. The Subrecipient shall act as principal coordinator of the Project's daily business with Sponsor and shall have authority to singly sign disbursement requests to be submitted to Sponsor. The Project shall not maintain a negative balance in its Account(s) at any time. Sponsor reserves the right to suspend financial activity or to stop payment of outstanding checks if there are insufficient funds. Sponsor will provide, upon request, sales tax exemption forms made out to specific Project vendors limited to payments made with a check issued by (sponsor) directly to the vendor. Any property purchased pursuant to using such sales tax exemption shall become the Property of Sponsor but may in Sponsor's discretion be transferred as a grant to the Subrecipient. The Subrecipient shall indemnify Sponsor for any sales and use taxes (including interest, penalties and Sponsor's reasonable contest expenses) ultimately determined to be payable by Sponsor with respect to such purchase and/or grant.
