Common use of Yield Maintenance Agreement Reserve Fund Clause in Contracts

Yield Maintenance Agreement Reserve Fund. (a) On or before the Closing Date, the Trustee shall establish a Reserve Fund on behalf of the Holders of the Class A Certificates. The Reserve Fund must be an Eligible Account. The Reserve Fund shall be entitled "YMA Reserve Fund, Deutsche Bank Trust Company Americas as Trustee for the benefit of holders of Residential Accredit Loans, Inc., Mortgage Asset-Backed Pass-Through Certificates, Series 2005-QO4". The Trustee shall demand payment of all money payable by the Yield Maintenance Agreement Provider under the Yield Maintenance Agreement. The Trustee shall deposit in the Yield Maintenance Agreement Reserve Fund all payments received by it from the Yield Maintenance Agreement Provider pursuant to the Yield Maintenance Agreement. On each Distribution Date, the Trustee shall remit amounts from the Yield Maintenance Agreement Reserve Fund to the Holders of the Class A Certificates in the manner and amount provided in Section 4.02(f) as it is directed by the Master Servicer. (b) The Yield Maintenance Agreement Reserve Fund is an "outside reserve fund" within the meaning of Treasury Regulation ss.1.860G-2(h) and shall be an asset of the Trust Fund but not an asset of any 2005-QO4 REMIC. The Trustee on behalf of the Trust shall be the nominal owner of the Reserve Fund. The Class A Certificateholders shall be the beneficial owner of the Reserve Fund, subject to the power of the Trustee to distribute amounts under Section 4.02(f). Amounts in the Reserve Fund shall be held uninvested in a trust account of the Trustee with no liability for interest or other compensation thereon. Any amounts remaining in the Yield Maintenance Agreement Reserve Fund upon termination of the Yield Maintenance Agreement shall be distributed to the Class A Certificateholders.
