Right to Have Xxxxxxx Present (a) An employee shall have the right to have their xxxxxxx present at any discussion with supervisory personnel which the employee believes might be the basis of disciplinary action. Where a supervisor intends to interview an employee for disciplinary purposes, the supervisor shall make every effort to notify the employee in advance of the purpose of the interview in order that the employee may contact their xxxxxxx, providing that this does not result in an undue delay of the appropriate action being taken. This clause shall not apply to those discussions that are of an operational nature and do not involve disciplinary action.

Texas Law to Apply 12.01 This Agreement shall be construed and the provisions thereof interpreted under and in accordance with the laws of the State of Texas.
Right to Appeal Notwithstanding a determination by any forum listed in Section VI.D above that the Indemnitee is not entitled to indemnification with respect to a specific Proceeding, the Indemnitee shall have the right to apply to the court in which that Proceeding is or was pending, or to any other court of competent jurisdiction, for the purpose of enforcing the Indemnitee’s right to indemnification pursuant to this Agreement. Such enforcement action shall consider the Indemnitee’s entitlement to indemnification de novo, and the Indemnitee shall not be prejudiced by reason of a prior determination that the Indemnitee is not entitled to indemnification. The Company shall be precluded from asserting that the procedures and presumptions of this Agreement are not valid, binding and enforceable. The Company further agrees to stipulate in any such judicial proceeding that the Company is bound by all the provisions of this Agreement and is precluded from making any assertion to the contrary.
Vynálezy Inventions whether or not patentable, processes, know-how, results, trade secrets, data, improvements, patents and/or other intellectual property relating to the Investigational Product or otherwise arising from the Study, conceived, generated or first reduced to practice, as the case may be, during the term of this Agreement (hereinafter called “Inventions”), shall, without further remuneration for Institution and/or Principal Investigator, be the property of the Sponsor. The Institution/ Principal Investigator shall promptly disclose to Company and/or the Sponsor, in writing, any Invention. The Institution/Principal Investigator shall take all such actions throughout the term of this Agreement and thereafter as shall be necessary in order to ensure that the Inventions may be vested free of encumbrance in the Sponsor in accordance with Section 10 above. The Institution/ Principal Investigator shall further cooperate with the Sponsor, at the Sponsor’s expense by promptly executing any documents or carrying out any acts that may be required to vest the rights in or to Inventions in the Sponsor and otherwise to enable the Sponsor fully to protect its intellectual property. Zdravotnické zařízení/hlavní zkoušející budou dále spolupracovat se zadavatelem a na náklady sponzora neprodleně vypracují jakékoli dokumenty nebo podniknou jakékoli kroky, které budou nezbytné pro převedení práv k vynálezům na zadavatele, a jinak umožní zadavateli bez omezení chránit své duševní vlastnictví. For the avoidance of doubt all intellectual property rights and rights of a similar nature owned by or licensed to the Institution/Principal Investigator, Sponsor or Company prior to the date of this Agreement shall remain that party’s property. Aby nedošlo k žádným pochybnostem, veškerá práva k duševnímu vlastnictví a práva podobné povahy ve vlastnictví zdravotnického zařízení/hlavního zkoušejícího, zadavatele nebo společnosti, či v jejich licenci, před datem podpisu této dohody zůstávají majetkem dané strany.
