You May Be Required to Become a Party to the Shareholders’ Agreement. Your rights to your RSUs are conditioned on your becoming a party to any shareholders’ agreement to which other similarly situated employees (e.g., employees with a similar title or position) of the Firm are required to be a party. If you are a party to the Amended and Restated Shareholders’ Agreement, RSU Shares will be subject to the Amended and Restated Shareholders’ Agreement, but RSU Shares delivered in respect of Supplemental RSUs will not be “Covered Shares” for purposes of Section 2.1(a) thereof.
